“Pursuant to article i, section 1 and 2 of the bylaws: membership of region iv, inc. Is any county that is a member of northstar services, a related governmental entity. New member counties or other governmental entities permitted to be members under the interlocal cooperation act of nebraska may be made members of region iv, inc.”

“Pursuant to article ii of the bylaws: any member that is in good standing shall be permitted to have a director with voting power attend meetings.”

“The organization does not have any committee with authority to act on behalf of the governing body.”

“The form 990 is prepared by an accounting firm with the assistance of the general ledger accountant, and is then reviewed by the ceo of northstar services. Copies of the reviewed return are provided to the board members prior to filing with the irs.”

“The conflict of interest policy is reviewed and an acknowledgement statement is signed annually. It is the policy of region iv, inc. That no interested person, nor any family member or related business thereof, shall obtain an improper personal benefit or advantage as a result of the interested person's status as an officer of region iv, inc. Immediately upon becoming aware of a transaction, situation or occurence which the interested person knows may constitute an actual or potential conflict of interest, the interested person must disclose the existence and nature of the conflict of interest and all material facts. An interested person may make a presentation at the board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. After exercising due diligence, the board shall determine whether region iv, inc. Can obtain, with reasonable efforts, a more advantageous business transaction or other financial arrangement from a person or entity that would not give rise to a conflict of interest.”

“Region iv, inc. Does not have a ceo, executive director or top management official or any key employees that the organization directly compensates. The organization reimburses northstar services, a related governmental entity, for portions of the salaries of northstar employees who provide needed services. Therefore, it is not necessary to have a process to determine compensation for these positions.”

“Region iv, inc. Makes its governing documents, conflict of interest policy and financial statements available to the public upon request.”

“The board of directors of northstar services, a related governmental entity, assumes the responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed from the prior year.”
