Pawnee City Public Library Foundation

“The foundation is a corporation that has one class of members and makes all reasonable efforts to maintain a broad community-wide membership of not less than twenty-five in number. Both individuals and organizations may qualify as members. The majority of the members of this organization must be residents of pawnee city, pawnee county, nebraska, or its trade area. The qualifications of the members shall be as follows:”

“A: individual - any legally competent person of good character who applies for membership, and pays the required membership fee shall be eligible.”

“B: organization: any civic club, church group or charitable organization whose bylaws, rules,or regulations permit membership in another organization which is interested in the purposes or work undertaken by this corporation may apply for membership. Such club, group, or organization shall designate one of its members to represent it at the membership meetings of this corporation and shall pay the required membership fee.”

“The membership fee shall be fixed by the members at any annual meeting, or at any special meeting called for the purpose. No person shall attain membership before paying the treasury the membership fee.”

“The members of the pawnee city public library foundation (as described on form 990, part vi, section a, line 6) shall elect, at the annual meeting, the board of directors.”

“There are no other committees with authority to act on behalf of the governing body, and as such there would be no contemporaneous documentation of those meetings.”

“The form 990 will be presented to the board of directors for review prior to submission.”

“Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-emempt purposes. An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. If a conflict of interest exists, an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.”

“The foundation does not have a ceo, executive director, top management official or any key employees the organization directly compensates. Therefore, it is not necessary for the foundation to have a process to determine compensation for these positions.”

“The governing documents and financial statements are available to the public upon request.”
