Governance Explanations

Form 990, Part VI, Section A, Line 2

Claire baker (director), md and timothy wahl (vice-chairman), md share a business relationship as endocrinologists. Both work outside the diabetes education center at a private doctors clinic.

Form 990, Part VI, Section B, Line 11

Generally all members of the board of directors are sent a copy of form 990 to review before it is filed.

Form 990, Part VI, Section B, Line 12C

Officers and directors are asked at the beginning of each board meeting if there are any changes since their last annual disclosure.

Form 990, Part VI, Section B, Line 15

The board works directly with silverstone, a payroll company, to set pay increases as well as pay ranges for all employees annually. All changes are then reviewed by the education center advisor before implemented. These are based on comparability data.

Form 990, Part VI, Section C, Line 19

The diabetes education center holds its governing documents, conflict of interest policy and financial statements on site for public viewing. Anyone is free to contact the diabetes education center to view these upon request.

Additional Explanations

FORM 990, PART XI, LINE 9:

Equity in subsidiary adjustment -7,720.

Form 990, Part XII, Line 2C

The independent accountant is selected by a committee consisting of the board of directors and a board advisor. The board of directors and board advisor oversee the compilation.

Financial Statement Notes

PART X, LINE 2:

On january 1, 2009, the company adopted the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the company may recognize the tax benefit from an uncertain tax position only if it is more-likely-than-not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Unrealized loss on investments 76,633.

IRS990ScheduleA/FactsAndCircumstancesTestTxt0IN ACCORDANCE WITH 1.170A-9(F)(3)(I), THE ORGANIZATION EXCEEDS THE TEN PERCENT SUPPORT LIMITATION IN 2015 AS THE PUBLIC SUPPORT PERCENTAGE WAS 30.77%. THE ORGANIZATION HAS SEEN INCREASES YEAR OVER YEAR IN ITS IN-KIND DONATIONS FROM PHARMACEUTICAL COMPANIES. IN 2013, IN-KIND DONATIONS INCREASED BY 93% FOLLOWED BY AN ADDITIONAL 24% INCREASE IN 2014. THE EDUCATION CENTER SUSTAINED THIS GROWTH IN 2015. THE SIGNIFICANT INCREASE OVER THE PAST THREE YEARS IS A RESULT OF HIRING A ADDITIONAL PERSON TO FOCUS ON THE EDUCATION CENTER'S LONG TERM GROWTH. THIS PERSON MEETS WITH REPRESENTATIVES FROM VARIOUS PHARMACEUTICAL COMPANIES WHO THEN DONATE FREE SAMPLES. IN ADDITION, FUNDS AND INTERNAL RESOURCES HAVE BEEN USED TO BUILD A WEBSITE AND DATABASE THAT WILL HELP LOCAL DIABETICS FIND THE SUPPORT THEY NEED, AS WELL AS SERVE AS AN AVENUE FOR INDIVIDUAL AND PHARMACEUTICAL COMPANIES TO EASILY CONTRIBUTE TO THE ORGANIZATION'S CAUSE. THE EXPECTATION THAT THE INCREASES OF IN-KIND DONATIONS WILL CONTINUE, COUPLED WITH INCREASED DONATIONS ANTICIPATED THROUGH THE NEW WEBSITE, SHOULD HELP THE PUBLIC SUPPORT PERCENTAGE TO RECOVER ABOVE 33.33% OVER THE NEXT FEW YEARS.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0ON JANUARY 1, 2009, THE COMPANY ADOPTED THE ACCOUNTING STANDARD ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES, WHICH ADDRESSES THE DETERMINATION OF WHETHER TAX BENEFITS CLAIMED OR EXPECTED TO BE CLAIMED ON A TAX RETURN SHOULD BE RECORDED IN THE FINANCIAL STATEMENTS.
