Form 990, Page 6, Part VI, Line 12C

The foundation is subject to the conflict of interest policy of the northeast community college foundation and members are required to comply with the following policy: men and women of substance inevitably are involved in the affairs of other institutions and organizations. An effective board and administration cannot consist of individuals entirely free from at least perceived conflicts of interest. Although most such potential conflicts that arise will be deemed to be inconsequential, it is everyones responsiblity to ensure that the board is aware of situations that involve personal, familial, or business relations that could be troublesome for the foundation. The foundation requires each director and officer upon election or appointment and annually thereafter (1) to review this policy, (2) to disclose in writing any possible personal, familial or business relationships that reasonably could rise to a conflict or the appearance of a conflict involving the foundation, and (3) to acknowledge by his or her signature that he or she is in compliance with the letter and spirit of this policy. In addition, if a matter arises during the course of the year that would have required disclosure, the director or officer will be required to promptly disclose such matter in writing.

Tthe foundation adopted the fasb standards regarding uncertain tax provisions which require evaluation of the impact of uncertain tax positions taken or expected to be taken in a tax return. In evaluating the foundation's tax provisions and accruals, interpretations and tax planning strategies are considered. In some instances, the foundation may be rquired to recognize a liability related to those tax positions. The foundation had no uncertain tax positions requiring recognition in the financial statements for the current or prior year.
