Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee. (1) the executive committee shall consist of the following members of the board: the chairperson, vice chairperson, secretary, and president. The chairperson of the board of directors shall be the chairperson of the executive committee. (2) the executive committee shall meet as necessary when the board is not in session, to receive reports on the progress of the university and to execute orders and resolutions not otherwise specifically committed or provided for. It shall approve major land and physical purchases. (3) the executive committee shall act as the audit committee, reviewing the report of the auditor prior to submission to the board for approval. It shall act on individual loans and the sale or purchase of property and non-endowment securities. (4) the executive committee shall act as the committee on directorship, developing a plan of board composition made relevant to the strategic direction of the institution. It shall function as a committee on nominations for vacancies in board membership. It shall recruit directors and nominate and recommend those candidates for election by the full board. It shall develop and recommend the strategies, policies, and practices that orient, educate, organize, motivate, and assess the performance of directors and the board. (5) the executive committee shall act as the committee on bylaws, and shall, when and as necessary, develop and recommend revisions to the bylaws. (6) in accordance with the general policy of the board, the executive committee shall have the care and direction of matters pertaining to the welfare and work of the institution. It shall make a report of its actions at the next regularly scheduled board meeting.

County of dodge head start does not undergo a financial statement audit. The accounting transactions are processed through midland university as agency transactions. Because of the federal grant money county of dodge head start receives, it is subject to a federal a-133 audit, which is shown on midland university's schedule of federal awards. The process for the oversight of the federal award audit has not changed from prior year.

IT SHALL ACT ON INDIVIDUAL LOANS AND THE SALE OR PURCHASE OF PROPERTY AND NON-ENDOWMENT SECURITIES.
