Governance Explanations

Part VI, Line 11B

The Board was informed that the Form 990 was prepared and it was made available for their review in a shared Google Drive, which is the organization's standard method for disseminating documents.

Part VI, Line 12C

Whenever a director or officer has a financial or personal interest in any matter coming before the board of directors, the affected person shall: a) fully disclose the nature of the interest and: b) withdraw from discussion, lobbying, and voting on the matter (recusal). Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the corporation to do so. The minutes of meetings at which such votes are taken shall record such disclosure, abstention and rationale for approval. The Board of Directors shall from time to review applicable Internal Revenue Service recommended best practices regarding conflict of interest disclosure, recusal and approval procedures and exercise best efforts to ensure Directors are familiar with such Internal Revenue Service recommended procedures; and shall exercise best efforts to ensure these bylaws are consistent with Internal Revenue Service recommended best practices. In any Board of Directors review of possible compensation for services rendered where such compensation met applicable conflict of interest review and approval procedures, the Board of Directors shall also ensure that such compensation was not excessive and shall make findings concerning reasonableness of compensation for comparable services rendered to comparable organizations.

The organization offers both Corporate and Individual Memberships. Corporate memberships come with a number of complimentary individual memberships depending on the size of the contribution.

Members of the Board of Directors are subject to election by the general membership of the organization.

Part VI, Line 7B

Section 3.6 of the Bylaws states that members elect members of the board. Section 3.7 states a two-thirds vote of the membership may remove a member of the Board. Section 8.1 of the Bylaws states that "the bylaws provisions on the number of directors shall not be amended to increase or decrease the number of directors, nor shall the provisions of Article 2, Section 2.2, concerning the members electing board members, be amended or substantially altered, without the prior approval of a majority of the members."

We held 15 of these training events reaching 675 participants. Video recordings of our events (available publicly in our Video Library at https://passivehousema.org/video-library) reached a further 1,591 people. Expenses include contractor labor to organize, prepare, and deliver these events.

IRS990/ProgSrvcAccomActy3Grp/Desc0Our third main program service is conducting research to assess the training needs of the high-performance building industry, the barriers and obstacles involved, the availability of existing training programs, and provide recommendations for future program development. We compiled existing data on contractors and their current role in clean energy and Passive House construction through an in-depth survey of 19 contractors. We analyzed the Passive House and High-Performance Building market and identified potential growth areas. We developed an outreach plan for contractors in the construction, contracting, trades and related industries. And we shared the results with peer organizations. This work was supported by a $50,000 grant from the Massachusetts Clean Energy Center (reported in Part VIII, line 1). Expenses include contractor labor to conduct this research.
