Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's bylaws were amended with the following updates in fy24: - article iv 4.1: no less than 80 percent of the directors shall be active rotarians. Rotaractors, or peace fellows. Up to 20 percent of the board positions may be occupied by independent outside board member(s), who is not a rotarian, rotaractor or a peace fellow - article iv 4.2: terms of directors may last from one to six years. After completing a leadership term, directors are ineligible to serve until three years have passed - article v section 5.1: the rotary action group shall be administered by at least four officers, one of whom shall be the chair, one secretary, one treasurer, and one technical officer. Additional officer roles may be created by the rotary action group's board the terms of officers shall be staggered, shall not exceed three years, and shall coincide with the rotary year, i.e. 1 july through 30 june. - article vi section 6.1: an annual meeting of the members shall take place virtually or in-person as determined by the rotary action group's board of directors. - article vii section 7.1: all nominees must indicate their willingness to serve prior to their names being submitted to the nominating committee. - article vii section 7.1: ballots may be sent by mail or electronically - article vii section 7.3: section 7.3. Any effort to influence the selection process for an elective role in any manner, including campaigning, canvassing, or electioneering, is prohibited. Group members shall not campaign, canvass, or electioneer for elective position in the rotary action group or allow such activity, for either themselves or others. Unless expressly authorized by the rotary action group's board, this prohibition includes any distribution or circulation by themselves or others of brochures, literature, letters, materials, electronic media, or other communications to any clubs or members of clubs. If a candidate learns of any prohibited activity, they shall immediately express disapproval and instruct the activity to be stopped. - article viii section 8.1: section 8.1. At the rotary action group board of director's annual meeting, the chair may appoint the secretary, treasurer and technical officer. Appointments shall be endorsed by two thirds of the rotary action group's board. Unless the appointed officer is a director, they are not a voting member of the rotary action group's board. - article viii section 8.2: appointed roles are excluded from the election process. - article viii section 8.4: section 8.4. An officer may be removed from office by a two-thirds vote of the rotary action group's board of directors, or, by a two-thirds vote of the membership or in accordance with state or national law. - article ix section 9.4: section 9.4. An annual independent review of finances shall take place following the close of the fiscal year and the rotary action group shall provide a report to the members on the findings and recommendations of the review. - article x section 10.3: membership or affiliation shall not be granted to a person who is known to have engaged in sexual abuse or harassment or who is prohibited from being a member of a rotary or rotaract club. - article xi section 11.2: section 11.2. The rotary action group must adopt ri's amendments to the standard bylaws once the general secretary communicates such amendments to rotary action groups. - article xi section 11.3: updated bylaws must be submitted to the general secretary for review and filing.

THE COMMITTEE MEMBERS SEEK TO EDUCATE THEMSELVES USING THE MANY TOOLS, PROGRAMS, AND VIDEOS AVAILABLE FROM THE RAGFP, ROTARY INTERNATIONAL AND THE INSTITUTE OF ECONOMICS AND PEACE. THEY THEN SHARE THEIR KNOWLEDGE IN THE CLUB SO THAT MEMBERS CAN SEE THAT EVERY PROJECT WHICH THEY UNDERTAKE HAS A PEACE ELEMENT. THE NUMBER OF PEACEBUILDER CLUBS GLOBALLY AS OF JUNE 30, 2024 WAS IN EXCESS OF 350. CONTINUED ON SCHEDULE O.CHAPTERS:AT THE BEGINNING OF 2023 THE RAGFP HAD CHAPTERS IN HONG KONG/MACAO, SERBIA, AND GERMANY. THE RAGFP CONTINUED ITS GROWTH OF CHAPTERS (BEGINNING IN 2020) WITH THE ADDITION IN THE PERIOD OF JULY 1, 2023 TO JUNE 30, 2024 OF CHAPTERS IN OHIO USA, EGYPT, LOS ANGELES USA COMMUNITY, ROTARY GREAT BRITAIN AND IRELAND, NIGERIA, INDIA, UKRAINE, AND ITALY BRINGING THE TOTAL TO 12 AS AT JULY 1, 2024. SOME NOTABLE ACCOMPLISHMENTS FOR THE CHAPTERS INCLUDE THE CREATION OF A PEACE ACADEMY IN SCHOOLS IN THE HONG KONG AREA. THE INDIA CHAPTER IS CONSIDERING A SIMILAR EFFORT. THE GERMAN CHAPTER FOCUSES ON PEACEBUILDING IN YOUTH ALSO, AS DOES THE NIGERIA CHAPTER.GLOBAL PEACE BUILDERS MEETINGS:THE RAGFP HOSTED BI-MONTHLY GLOBAL MEETINGS OF PEACEBUILDERS THROUGHOUT THE YEAR. THIS HAS STEADILY GROWN IN ATTENDANCE WITH THE INCREASE IN PEACEBUILDER CLUBS. THE MEETINGS SEEK TO HIGHLIGHT DIFFERENT ASPECTS OF PEACE INCLUDING THE WORK OF THE RI CADRE, CHAPTERS, AND SPECIFIC PROJECTS THAT ARE BOTH INFORMATIVE AND INSPIRATIONAL TO MEMBERS. THE MEETINGS HAD PARTICIPANTS FROM OVER FORTY COUNTRIES.GLOBAL MARATHON ON ROTARY DAY:THE SUN NEVER SETS IN ROTARY. THE RAGFP TOOK PART IN A 24-HOUR GLOBAL MARATHON HELD ON ROTARY DAY ON FEBRUARY 24TH. IT HIGHLIGHTED THE WORK OF ITS CHAPTERS AND PEACEBUILDERS DURING ITS ONE-HOUR SLOT. THE SECOND ROTARY PEACE PARK WAS OPENED AT THE ROTARY INTERNATIONAL CONVENTION SINGAPORE FROM MAY 25-29, 2024. THIS WAS THE SECOND YEAR OF THE PEACE PARK AND SERVED AS A CENTRAL HUB FOR CONNECTIONS, AND MANY EVENTS WERE STAFFED BY RAGFP LEADERS AND MEMBERS. THE RAGFP BOOTH SERVED AS THE CLEARINGHOUSE FOR PEACEBUILDING INFORMATION AND AS SUCH ATTRACTED A GREAT DEAL OF ATTENTION FROM ROTARY LEADERS. THE ATTENTION RESULTED IN THE GROWTH OF MEMBERSHIP; PEACEBUILDER CLUBS AND THE DEVELOPMENT OF CHAPTER LEADS.THE RAGFP HAS CONTINUED WITH ITS MONTHLY ONLINE SESSIONS OF SUPPORT TO THE PEOPLE OF TURKIYE FOLLOWING THE EARTHQUAKE, WHILE BRINGING THEM ON A JOURNEY TO A PLACE OF WELL BEING.THE RAGFP WORKED CLOSELY WITH A LEADING ROTARIAN WHO WAS RESPONSIBLE FOR DEVELOPING AN E-RYLA DURING COVID TO DEVELOP AN ONLINE PROGRAM BASED ON THE EIGHT PILLARS OF PEACE, COMBINED WITH LIFE SKILLS. THE PROGRAM WILL TARGET BOTH YOUTH AND ROTARIANS.

RAGFP IS NOW FOCUSED ON BUILDING A SUSTAINABLE BUSINESS AND FUNDRAISING STRUCTURE BASED ON GENERAL PUBLIC SUPPORT. * RAGFP HAS A CONTINUOUS AND BONA FIDE PROGRAM FOR SOLICITATION OF FUNDS FROM THE GENERAL PUBLIC, COMMUNITY, MEMBERSHIP GROUPS AND OTHER PUBLIC CHARITIES. IN PARTICULAR, RAGFP HAS ESTABLISHED A DEVELOPMENT COMMITTEE THAT HAS DEVELOPED A STRATEGIC PLAN TO INCREASE SOLICITATIONS AND MEMBERSHIPS FROM A BROAD BASE OF THE GENERAL PUBLIC. THE STRATEGIC PLAN INCLUDES A SCHEDULE OF MEMBERSHIP DRIVES AND FUNDRAISING APPEALS INCLUDING TWO ANNUAL FUNDRAISING PERIODS AND IMPLEMENTS A DONOR MANAGEMENT FUNDRAISING SYSTEM TO TRACK AND AUTOMATE FUNDRAISING FUNCTIONS. * THE DEVELOPMENT PLAN PROVIDES DETAIL TO CONTINUE AND IMPROVE EXISTING MEMBERSHIP PROGRAMS TO DRIVE INTEREST IN MEMBERSHIP. ANY EFFORT TO INFLUENCE THE SELECTION PROCESS FOR AN ELECTIVE ROLE IN ANY MANNER, INCLUDING CAMPAIGNING, CANVASSING, OR ELECTIONEERING, IS PROHIBITED. IF A CANDIDATE LEARNS OF ANY PROHIBITED ACTIVITY, THEY SHALL IMMEDIATELY EXPRESS DISAPPROVAL AND INSTRUCT THE ACTIVITY TO BE STOPPED. - ARTICLE VIII SECTION 8.1: SECTION 8.1. AT THE ROTARY ACTION GROUP BOARD OF DIRECTOR'S ANNUAL MEETING, THE CHAIR MAY APPOINT THE SECRETARY, TREASURER AND TECHNICAL OFFICER. APPOINTMENTS SHALL BE ENDORSED BY TWO THIRDS OF THE ROTARY ACTION GROUP'S BOARD. UNLESS THE APPOINTED OFFICER IS A DIRECTOR, THEY ARE NOT A VOTING MEMBER OF THE ROTARY ACTION GROUP'S BOARD. - ARTICLE VIII SECTION 8.2: APPOINTED ROLES ARE EXCLUDED FROM THE ELECTION PROCESS. - ARTICLE VIII SECTION 8.4: SECTION 8.4. AN OFFICER MAY BE REMOVED FROM OFFICE BY A TWO-THIRDS VOTE OF THE ROTARY ACTION GROUP'S BOARD OF DIRECTORS, OR, BY A TWO-THIRDS VOTE OF THE MEMBERSHIP OR IN ACCORDANCE WITH STATE OR NATIONAL LAW. - ARTICLE IX SECTION 9.4: SECTION 9.4. AN ANNUAL INDEPENDENT REVIEW OF FINANCES SHALL TAKE PLACE FOLLOWING THE CLOSE OF THE FISCAL YEAR AND THE ROTARY ACTION GROUP SHALL PROVIDE A REPORT TO THE MEMBERS ON THE FINDINGS AND RECOMMENDATIONS OF THE REVIEW. - ARTICLE X SECTION 10.3: MEMBERSHIP OR AFFILIATION SHALL NOT BE GRANTED TO A PERSON WHO IS KNOWN TO HAVE ENGAGED IN SEXUAL ABUSE OR HARASSMENT OR WHO IS PROHIBITED FROM BEING A MEMBER OF A ROTARY OR ROTARACT CLUB. - ARTICLE XI SECTION 11.2: SECTION 11.2. THE ROTARY ACTION GROUP MUST ADOPT RI'S AMENDMENTS TO THE STANDARD BYLAWS ONCE THE GENERAL SECRETARY COMMUNICATES SUCH AMENDMENTS TO ROTARY ACTION GROUPS. - ARTICLE XI SECTION 11.3: UPDATED BYLAWS MUST BE SUBMITTED TO THE GENERAL SECRETARY FOR REVIEW AND FILING.
