Governance Explanations

Form 990, Part VI, Section B, Line 11B

1. Once the initial draft is completed, the secretary distributes Form 990, electronically and physically during the next board meeting. 2. All board members are required to review form 990 and complete our "Form 990 Review Form" to the best of their knowledge. 3. Board members are required to submit their completed "Form 990 Review Form" to the secretary 24 hours before the next meeting. 4. Discrepancies found will be presented at the board meeting and given to the CFO who is responsible for making necessary amendments to our Form 990. 5. Amendments to the form, will be reviewed by the board during the next quarterly meeting.

Form 990, Part VI, Section B, Line 12C

1. We require all officers, directors and to sign and agree to our conflict of interest policy. 2. Those in that policy are required to file an annual disclosure form and are required to inform the board when a potential conflict of interest arises. 3. When a possible instance has been discovered, the non-interested parties review the potential conflict look for effective alternatives, and submit the options to a vote of the non-interested parties. 4 .The person with the potential conflict with respect to a transaction should disclose such potential conflict. 5. The person should not participate or be present at any meeting during which the discussion of the possible conflict of interest takes place. 6. The chair of the board should, if appropriate, appoint a committee of the board made up of disinterested directors to investigate alternatives to the proposed transaction. 6. If a more advantageous transaction is not reasonably available, the governing board or committee should determine, by a majority vote of the disinterested directors, whether the transaction is in the organization's best interest and is fair and reasonable. 7. Our secretary maintains the list of potential conflicts and informs our CEO, who brings it to the attention of the board of directors during an officer meeting. 8. When doing business with a new vendor/service provider we request a disclosure of potential conflicts. 9. We undertake a periodic review of our transactions involving any major expenditures. 10. If a conflict of interest is discovered that was not previously disclosed, the chair of the board will form a committee of non-interested officers and directors to determine how the conflict arised, whether it was intentional, and determine appropriate course of action to rectify the situation including but not limited to release from the position and legal actions.

Form 990, Part VI, Section C, Line 19

Additional Explanations

Form 990, Part III, Line 2

Our program addition is our project, Art Bike Relief. We were invited by the non-profit organizers of the event to collect and deal with over 1000 littered bicycles. After collecting the bikes. This bikes were then distributed free to our camp members and the added benefit of our bikes increased our camp memberships to over 700 people from our previous camp of 12. Art Bike Relief is a collaborative project established to assist a local non-profit deal with thousands of littered bikes after an art event. The project is an example of circular and collaborative economics and is intended to turn damaged and orphaned bikes into social impact around the world. In total we have collected over 1200 bicycles and over 700 members have become members of our camp.

IRS990/Desc0The establishment of The Cyrcle Collective, a physical and digital shared economic platform, that provides the education, resources, and opportunities to generate revenue sustainably, collaboratively, and ethically. The Cyrcle is a independent non-profit collective located in Kathmandu, Nepal and is a community resource and business library. It is part university, part jobs platform, and part means of production. Combined these three components comprise a circular wealth collective that provides members and beneficiaries the necessary ingredients to create their own economic well being. Revenues created through the functioning of The Cyrcle Collective is reinvested back into community resources to help each other generate revenue. 1. Skills: We invest in quality teachers and facilities and have developed a new type of gig based education that teaches only relevant and useful skills. Basic classes and introduction to autodidactic learning are free, with upper level classes that require highly qualified mentors to teach. Our grant has created 8 full time positions in the country, pays facility rents, purchased technology (3d printers, VR gear, and fab lab), and has developed an online education and work platform known as www.thecyrcle.org.

The project is an example of circular and collaborative economics and is intended to turn damaged and orphaned bikes into social impact around the world. We collect membership fees from volunteers who help us repair bikes and distribute them to their communities. In total we have collected over 1200 bicycles and 700 non-voting honorary members have joined our collective as a result of this project. With the damaged bikes and the membership dues we have been able to bring in artists from Nepal, France, Italy, Israel and the US together to design and build art installations from recycled materials.

The intitial lab consists of shredding machines, an extrusion machines, a plastics bike powered washing machine, and an injection molder. The machines are designed to be low cost and create a business with machines that cost under $1000 to produce. In addition to machine development and prototyping, the project also includes creating a local network of trash collectors, and waste collection programs that would enable people to clean up their neighborhoods and get paid for collecting their plastics.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Ujyalo: A bike light from recycled products. With the tools and equipment we funded at The Cyrcle and the home plastics recycling factory, we designed and produced sustainable options to the cheap Chinese made bike lights. Our mission was to fund the creation of sustainable products that are produced from recycled products by hand for a similar cost to those mass produced in non-sustainable fashion. Our design was built from bike inner tubes, recycled plastics, and electronics. We produced nearly 3,000 lights for our other project (Art Bike Relief) and distributed them to our members.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0Our program addition is our project, Art Bike Relief.
