Form 990, Part VI, Section B, Line 12

Sjh's board members, employees, staff and contractors, referenced in this document as workforce members, should avoid conflicts of interest whenever possible. These individuals are expected to act objectively and with integrity at all times when doing business on behalf of sjh. All conflicts of interest, whether real or perceived, must be disclosed as soon as the individual becomes aware of the conflict. Each director is required to fully disclose any business or professional activity or other interest that could form or have the appearance of forming the basis for a conflict of interest in their position on the board of directors. The board of directors shall consider such disclosures and take appropriate actions, as required. Failure of a director to fully disclose as required under this section 2.3 may, at the board's discretion, be cause for immediate removal from office. In addition, the board of directors shall establish, adopt, and periodically update a written corporate policy that establishes procedures for disclosing and addressing conflicts of interest or the appearance of conflicts of interest by board members, officers, employees, consultants, and/or agents who provide services or furnish goods to the corporation, and for maintaining confidentiality of the corporation's proprietary information.

Compensation at saint james health, inc., takes into consideration the compensation paid for other similar positions in the marketplace as well as the performance of the employee and the current financial capacity of the organization. As required by the by-laws, each year the board of directors conducts a performance review of the chief executive officer and sets the ceo's salary. In setting the salary the board reviews compensation surveys conducted by the new jersey primary care association and other similar organizations to ensure that saint james health's ceo compensation is keeping with state and national benchmarks. During such deliberations the board may consider input from board members, professional advisors and other community leaders.

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities.
