The completed Form 990 for tax year 2024 was prepared by the Executive Director with assistance from the organization's accounting professionals. The draft Form 990 was provided to all Board of Directors members for comprehensive review at least two weeks prior to the filing deadline. The Board conducted a detailed review of the form during their regular board meeting held in [month] 2025, with particular attention to the financial statements, program accomplishments, and governance disclosures. Board members were given the opportunity to ask questions and request clarifications regarding any aspects of the filing. Following thorough discussion and review, the Board of Directors formally approved the Form 990 for filing. The approved form was then submitted to the IRS within the required timeframe. This review process ensures accuracy, transparency, and board oversight of the organization's annual tax filing obligations.

Form 990, Part VI, Section B, Line 12C

The organization regularly monitors and enforces compliance with its written conflict of interest policy through the following procedures: All board members, officers, and key employees complete annual conflict of interest disclosure forms at the beginning of each fiscal year, identifying any potential conflicts including business relationships, financial interests, or family connections that could affect their decision-making. The Board Chair reviews all completed disclosure forms and presents any identified potential conflicts to the full Board of Directors for discussion and appropriate action. When conflicts are identified, the affected individual is required to recuse themselves from discussions and voting on any matters where the conflict exists. All conflict disclosures and recusal actions are documented in the board meeting minutes. The Board conducts an annual review of the conflict of interest policy to ensure it remains current and effective. Any violations of the policy are addressed immediately through board discussion and appropriate corrective measures. This systematic approach ensures that all organizational decisions are made in the best interests of the organization and its mission, free from personal conflicts of interest.

The Board of Directors employs a comprehensive and independent process for determining compensation of the Executive Director and other key employees that includes review and approval by independent persons, use of comparability data, and contemporaneous substantiation of deliberations and decisions. Annually, the Board's independent directors (those without conflicts of interest) conduct a thorough review of executive compensation using current salary surveys and compensation studies from similar nonprofit organizations in the Dallas-Fort Worth metropolitan area, with particular attention to organizations of comparable size, budget, and mission focus within the arts and education sectors. The Board obtains and reviews multiple sources of comparability data including regional nonprofit salary surveys, national arts organization compensation reports, and local market data for executive positions in similar educational nonprofits. During formal board meetings, independent directors discuss the compensation analysis, review performance evaluations, and consider organizational financial capacity before making compensation decisions. All deliberations, data sources consulted, and final decisions are thoroughly documented in board meeting minutes, creating contemporaneous substantiation of the compensation-setting process. This rigorous process ensures that all compensation paid to executives and key employees is reasonable, appropriate, and in compliance with intermediate sanctions rules under section 4958 of the Internal Revenue Code.
