“The finance committee hires an independent accountant to prepare the year-end financial statements and form 990. The financial statements and form 990 are reviewed and approved by the finance committee before filing the form with the taxing authorities. The financial statements and form 990 reported are provided to the annual board of directors meeting.”

“Unless shown to be unfair and unreasonable as to the foundation, no contract or ther trasaction between the foundation and one or more of its directors, or between the foundation and any other corporation, firm, association or other entity in which one or more of the directiors are directors or officers, or are financially interested, shall be either void or voidable, irrespective of whether such interested director or directors are present at a meeting of the board of directors, or of a committee thereof, which authorizes such contract or transaction and irrespective of whether his, her or their votes are counted for such purpose. In the absense of fraud any special contract and transaction conclusively may be authorized or approved as fair and reasonably by the board of directors or a duly empowered committee thereof, by a vote sufficient for such purpose without counting the vote or votes of such interested director or directors, if the fact of such common directorship, officership or financial interest is disclosed or known to the board or committee.”
