After being prepared by aasld foundation's outside accountants, the form 990 is reviewed by senior management and outside legal counsel, then provided to the aasld foundation board of trustees and the aasld governing board for review before filing.

An aasld foundation disclosure form is completed by all members of the board of trustees, committees, and task forces upon nomination and/or appointment. The form is updated thereafter during each person's tenure of office, as necessary. Committee chairs make forms available at all meetings. If it is determined that a conflict exists, the board of trustees advise the trustee to take actions including the following possible actions: - divest or resign from the conflict in question; - abstain from discussion and voting on matters involving the conflict; or - excuse him/herself from participating in such matters.

Aasld foundation relies on a related organization, aasld, to determine compensation. Aasld performs annual salary reviews for each staff position and adjusts compensation levels as necessary. Annual compensation surveys are performed by outside consultants every two to three years. The governing board approves/adjusts the ceo's salary. The ceo's performance and salary review are noted in a letter from the president of aasld to the ceo with a copy to the entire governing board. A copy of the letter, along with the related supporting documents, are in the ceo's personnel file. The ceo's compensation was last reviewed in april 2016. Aasld performs annual salary reviews for each staff position and adjusts compensation levels as necessary. Annual compensation surveys are performed by outside consultants every two to three years. The ceo approves staff salary. Staff salary determination is communicated with staff along with written performance evaluation, which is conducted at year-end. Individual memorandums from the ceo to individual staff, communicating the salary change and the position grade, are given to individual staff members. Copies of these memorandums are in individuals' personnel files.

Form 990, Part I Line 8 - Prior Year Contributions and Grants

Transfer of assets from aasld - to fund aasld foundation, the association's governing board authorized an initial transfer of net assets of $11,061,556 (comprised of research awards and grants). Subsequently, the governing board also authorized the transfer of $35,020 of memorial travel awards to the aasld foundation, bringing the total transfers of net assets to $11,096,576.

Form 990, Part III, Line 1

Crucial liver research since our inception in late 2014. We achieve our mission through initiatives designed to: (1) increase awareness of liver disease and the need for more liver research and training, (2) fund more innovative liver research and career development opportunities, (3) develop the next generation of hepatologists, liver transplant surgeons, and health professionals who will care for liver disease patients. With liver disease on the rise and the promise of more cures made possible through new discovery, now, more than ever, we need more research focused on liver disease. And, we need more hepatologists and healthcare professionals trained to provide care for patients suffering from liver disease. The aasld foundation was established to fulfill these needs. Since our inception, we have been taking bold actions and seeing tremendous results. In 2016, with the help of our generous donors, we invested just over $2.56 million in research and career development awards, funding innovative new research and encouraging more researchers to choose a career in liver research. We also committed $65 thousand in travel awards that facilitated participation of young investigators' attendance, and presentation of their original research, during the liver meeting, which is one of the most renowned scientific and educational events in liver disease, offering career-shaping experiences and networking for these bright minds. The impact of the foundation's popular fundamentals of liver disease was enhanced with the addition of several new modules. This complimentary online education course is especially designed for primary care doctors and health care providers on the front lines of implementing screening recommendations for liver diseases. It is an important example of our commitment to increasing the number of health care professionals trained to care for the growing number of patients with liver disease. Our award-winning website, aasldfnd.org provides information about the impact of our programs, as well as ways that people and companies concerned about liver disease can help us do more through a donation to support more research, and eventually, cures.

FORM 990, SCHEDULE D, PART V: ENDOWMENT FUNDS

The prior year ending balance of the endowment funds have been restated on the organization's financial statements, from the amount previously reported of $2,830,864 to the correct amount of $2,115,609.

Financial Statement Notes

PART V, LINE 4:

Donor restricted endowment assets are held in perpetuity and invested in an attempt to provide a stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowed assets. Board designated assets are unrestricted and currently set aside to support the research programs and awards. The prior year net asset column has been updated to reflect the accurate balance of the endowment fund.

PART X, LINE 2:

For the year ended june 30, 2016, the aasld foundation has documented its consideration of fasb asc 740-10, income taxes, that provides guidance for reporting uncertainty in income taxes and has determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements.
