The draft form 990 is disseminated via e-mail to all members of the board who have the opportunity to review and comment prior to filing.

Form 990, Page 6, Part VI, Line 12C

Each officer, director, and key employee shall annually sign a statement acknowleding that they have read and agree to comply with the organization's conflict of interest policy. Period reviews will be conducted to determine the organization operates in a manner consistent with its charitable purpose and does not engage in activites that could jeopardize its tax-exempt status. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors considering the proposed transaction or arrangement. After such disclosure, the interested person shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon by the remaining board members. If the board has reasonable cause to believe an interested person has failed to disclose actual or possible conflicts of interest, it shall notify the interested person of the basis for such belief and allow them an opporutnity to explain the alleged failure to disclose. If, after hearing the interested person's explanation and making further investigation (if necessary), the board determines the interested person has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
