FORM 990, PART VI, SECTION B, LINE 12A:

The members of the board of trustees annually must complete the organization's conflict of interest form to declare any potential conflict. The independent trustees are identified on the board roster. Guidance on the appropriate handling of conflict of interest compliance is provided to the board chair and organization president by outside independent general counsel. The board conducts its business through board resolutions. As each resolution is considered, the conflicted member will excuse themself from the vote, as well as the deliberation and board room, if necessary. The board chair makes note of this, and it will also be reflected in the minutes.

William fry fund has no employees. However, under the memorandum of understanding between william fry fund and catholic charities usa regarding the utilization of services of certain employees of ccusa, salaries and benefits expense has been allocated to william fry fund by catholic charities usa, representing services performed by shared employees for the benefit of the trust that are not oversight and supervisory services and that are based on direct hourly labor charge, plus corporate fringe benefit charge, multiplied by the number of hours worked on trust activities.

Neither CCUSA nor the WFF Trust are aware of any activities that would jeopardize the tax-exempt status of either filing organization. CCUSA pays unrelated business income tax on the parking benefits offered to its employees and has accrued an estimate of amounts due through June 30, 2019. As of June 30, 2019, there are no identified uncertain tax positions.
