Maple Green's general partner is Green Steel, LLC, which owns 0.01% of Maple Green, LP. Evergreen Partners II, LLC is the sole shareholder of Green Steel, LLC, effectively making Evergreen Partners II, LLC the general partner of Maple Green, LP with a 0.01% ownership interest. Speak Easy, GP is 100% owned by Evergreen Partners II, LLC. Maple Housing Development Fund Corporation's board members, Charles E. Allen, William A. Houlihan, and Brian M. Poulin collectively own 100% of Evergreen Partners II, LLC. Maple Housing Development Fund Corporation's board members effectively and indirectly control 100% of Evergreen Partners II, LLC's ownership interest of 0.01% in Maple Green, LP and Speak Easy, GP, and thus have less than 35% control interest in the two entities. Nevertheless, a disqualified person(s) relationship still exists due to IRS provisions governing general partner relationships, and therefore this transaction is being disclosed in Schedule L, Part II in accordance with those guidelines. However, the terms of the notes with Maple Green, LP and Speak Easy, GP bear interest at the Applicable Federal Rate or market rate and therefore do not constitute a below market rate loan. Furthermore, all proceeds of the loans were used by Maple Green, LP and Speak Easy, GP to further Maple Housing Development Fund Corporation's tax-exempt purpose related to the development of low-income housing projects in the state of New York.
