“Each board member and officer reads the form 990, questions are addressed, and changes are made before the form 990 is filed.”

“The policy has been enforced by having a board member who became employed by the organization resign from the board. The board has not identified any conflict of interest with respect to board members and the hollywood food coalition and we generally do not compensate any board members' business for any work done on behalf of the organization, unless special circumstances necessitate such and it is known and approved by the board. The hollywood food coalition requires all board members and employees to familiarize themselves with our conflict of interest policy, and to report any relevant conflicts, or questions surrounding this policy, directly to the executive director and/or the president of the board. In those instances where a conflict of interest is reported, the ed and board president interview the individual in question, and then further consult with relevant board officers to determine whether a conflict of interest does in fact exist. The full board acts on the findings of the officers of the board, and has the ultimate responsibility for ensuring compliance with our policy.”

“The board of directors of the hollywood food coalition, via its officers and its executive committee, oversee all aspects of policy making when it comes to determining compensation for key hires. Methodologies employed to determine our executive director's compensation package included interviews with independent stakeholders, including the executive directors of neighboring not for profits, other people in the social service community who had relevant experience in h/r, contract law, etc. Comparability data was analyzed with regard to relevance of multiple skill sets, candidate experience levels, distinctions between the size and scope of organizational budgets/staffs managed by executive directors at other organizations fulfilling comparable missions, etc. Contemporaneous substantiation is maintained on file (notes re: relevant presentations to leadership, duly filed board minutes, etc). Form 990, part vi, line 15b: the same process as noted in line 15a is applied to the other compensated officer.”
