Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors may, at its discretion, elect an executive committee composed of the chairman of the board of directors, the immediate past chairman, and the other officers of the board. The committee shall exercise the authority of the board of directors in the management of the business of the corporation between the meetings of the board of directors. Any actions of the committee shall be ratified by the full board of directors at the next regular meeting. The president, ceo shall serve as an ex-officio member of the executive committee without voting rights.

The organization has a management agreement with spectra management for property management services. Spectra management is a disregarded entity of the spectra organization, inc. It was paid $72,169 during 2024.

Employees must not engage in any activities, transactions or relationships that are incompatible with the impartial, objective and effective performance of their duties. In instances where such activities, transactions or relationships occur, the employee is expected to disassociate him/herself from work on these programs.
