Hospice Promise Foundation

“The board of directors and officers have a business relationship with each other as all are employees of the lhc group. The board of directors consists of employees of the lhc group and the hospice promise foundation. The board of directors and officers do not have a controlling interest (as defined by the instructions or regulations) in lhc group. Lhc group is a publicly traded company.”

“The hospice promise foundation is organized on a non-stock basis. The hospice promise foundation has voting members, each of which are also a director of the foundation. Membership in the hospice promise foundation terminates upon death, voluntary resignation by the member, or ceasing to be a member of the board of directors.”

“All of the corporate powers are vested in and the business and affairs of the hospice promise foundation are managed by the board of directors. All of the board of directors are members of the hospice promise foundation. Three of the directors are elected by lhc group inc. And four are appointed by the elected directors.”

“The hospice promise foundation board members are given a copy of the return to review before filing. Any changes requested by the board members are then updated. After the return has been updated, the board members are then able to review the return for any additional changes. Once there are no objections to how the return is presented, the return is then filed.”

“The periodic reviews shall, at a minimum, include the following subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; and whether partnerships, joint ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes, and do not result in inurement, impermissable private benefit or in excess benefit transaction.”

“During the 2024 fiscal year, the organization voided grant checks totalling $11,333 that were issued in 2023 but never cashed. These amounts were previously reported as grants paid and have been reversed in the current year. The adjustment restored unrestricted net asset to its correct beginning balance.”
