“The member shall have the following reserved powers with respect to the corporation: a) to define the philosophy, character and mission and establish the long-range goals, strategic plans, overall purposes and long term objectives; b) appoint and remove with or without cause, the members of the board of directors, authorize vacancies, and determine the number of directors on the board of directors; c) appoint and remove, with or without cause, the executive director, and conduct regular evaulations of the executive director; d) approve and remove, with or without cause, the independent auditing firm and legal counsel; e) participate in the preparation of, and give approval to, any plan of dissolution or merger, conslidation, acquisition or disposition of real property or relocation of the corporation's facilities; f) approve long-term borrowing of money and other forms of long-term indebtedness; g) approve the establishment, transfer and/or dissolution of any wholly-owned and partially-owned direct or indirect subsidiaries; h) approve the purchase, sale, lease, disposition, encumbrance or alienation of real property, and the sale, lease, disposition or encumbrance of substantially all of the corportaion's personal property; i)receive and approve budgets and financial reports; j) approve the financial policies and procedures of the coproration and any deviations from such policies and procedures; and k) amend and approve the articles of incoproration and bylaws.”
