Governance Explanations

Form 990, Part VI, Section B, line 11

The Form 990 was provided to the board of directors for review and comment prior to filing.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy is distributed annually to all directors and officers. Each director and officer must sign a statement that affirms that he or she has received a copy of the policy; has read and understood the policy and agrees to comply with the policy. The directors and officers are required to file annually a statement with the Board of Directors which discloses interests which could give rise to conflicts.

Form 990, Part VI, Section B, line 15

The Solutions Project Board's Executive Committee shall annually evaluate the Executive Director on his/her performance, and ask for his/her input on matters of performance and compensation. The Executive Committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the Executive Director (and other highly compensated employees or consultants) based on a review of comparability data. For example, the Executive Committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1. Salary and benefit compensation studies by independent sources; 2. Written job offers for positions at similar organizations; 3. Documented telephone calls about similar positions at both nonprofit and for-profit organizations; and 4. Information obtained from the IRS Form 990 filings of similar organizations.

Form 990, Part VI, Section C, line 19

The Organization's conflict of interest policy, and governing documents and tax returns are available upon request at the Organization's offices.

Form 99, Part VII, Compensation of Officers, Line 1A

The Organization's executive director was compensated as a contractor for a portion of the year totalling $118,322. During the year she was hired as an employee and was compensated $25,702 as an employee. Total compensation reported on part VII consists of both these components totalling $144,024.

IRS990/Desc0Our programs are designed to engage the public, celebrate and convene leaders, and advance state partnerships and policies. Our outcome goals are to inspire the public to take individual action while supporting clean energy leadership across the country and strengthen networks in target states to remove barriers for large-scale access to affordable, clean energy. We implement our program activities going deepest in "leader states" while maintaining our national reach through stories and media, opportunities to celebrate leaders and take action, and supporting a network of organizations making change happen in communities across the country. Across all of our activities, we reinforce three key themes clean energy is by and for every American; when barriers to access are removed, clean energy is entirely affordable and secure; and it is 100% possible to transition with the technology and actions we take today. Accomplishments and an overview of each area of our work follows.Engage the PublicA 100% engagement and media platform was launched at 100.org to tell stories of transition across different communities, provide consumer access to affordable clean energy solutions, and connect new audiences to opportunities to take civic actions that remove barriers for large-scale adoption.Activities and outcomes include: - Sponsored racecar driver Leilani Munter to promote Energy Freedom and Clean Energy Choice with auto-racing fans at four races, convening leaders from business, government, Hollywood and the climate movement, producing creative content, and reaching millions with relevant, mainstream media coverage. - Brought the 100% for the 100% vision to the 400,000 person People's Climate march, leveraging our cultural influencers to not only shape the public narrative, but do so in a way that elevated climate solutions from the most impacted communities with pick up in major media outlets, including The Daily Show, CNN, and People Magazine. We also took out a full-page 100% for the 100% ad in the New York Times providing a clear call to action on the day our founding donor Leonardo DiCaprio's spoke to the UN. - Launched the 100% campaign with a celebrity-studded and leader-filled event in La Plaza Cultural on the lower east side of New York City and a new story-based website at 100.org. The campaign - with widespread national media coverage and 25,000 enlisted at launch - is celebratory, inclusive, and centered on people from all walks of life taking clean energy action, today.

IRS990/ProgSrvcAccomActy2Grp/Desc0Advance Partnerships and PoliciesRooted in the Stanford University 50 state 100% transition analysis and the multi-sector leadership networks built through all of our work, Solutions will deploys support tools and relationship building strategies that help advance state policies that increase affordable clean energy and related benefits.Activities and outcomes include: - Released a digital, interactive 50-state 100% transition map with over 10 million views, 25,000 direct actions, a guest appearance on David Letterman, and dozens of leaders adopting the resource for their advocacy or policy efforts. As an advocate in Iowa stated, "We now have evidence that a 100% transition is possible and a rallying cry to inspire bi-partisan action in our state, today!" - Went behind the scenes in NY and helped to form the Energy Democracy Alliance, made up of community based organizations across the state reaching audiences not engaged in the mainstream environmental movement with direct community benefits. We also polled target audiences, created talking points and creative assets for the network, and placed key op-eds. - Developing a full range of tools for the field including share graphics, scientific analysis, and messaging to support members of the 100% NGO Network, Leadership Fund and others.

IRS990/ProgSrvcAccomActy3Grp/Desc0Celebrate LeadersThe messenger is often more important than the message and today, traditional environmentalists dominate the narrative but not the reality of transition. Our leadership spotlights, convening and fund seeks to change this by celebrating 100% leaders who reflect the diversity of our country. This program was launched in 2014 but incurred no expenses.Activities and outcomes include: - Produced a series and diversity of American success stories from business and community, in which people are the heroes and clean energy the tools that help them win; distribution has reached hundreds of thousands of people. - Formed a grantmaking program to provide $250,000 in funding to 9 organizations in New York and California who are organizing nontraditional voices in climate issues and driving clean energy or efficiency adoption in dozens of communities. These grants will be implemented in 2015. - Co-convened more than 30 national organizations working on clean energy and efficiency efforts as part of the newly formed 100% NGO Network, which is carrying "100% for all people" as the rallying cry across the movement.
