The governing body of reh consists of the executive director, the cfo, the chief construction officer and the finance director of habitat omaha which is the supported organization.

Form 990, Part VI, Section B, Line 11B

An independent cpa firm prepares the form 990. Upon completion of the preparation, a copy of the form 990 is provided to a finance committee member and all board members of habitat omaha prior to submission to the irs.

Form 990, Part VI, Section B, Line 12C

A signed conflict of interest statement is obtained, annually, from each officer, member of the board of the organization, and staff members. Each statement documents direct business relationships, family business relationships and inter and intra family and business relationships, and are reviewed for potential conflicts of interest. Such potential conflicts are reported to the president and the board of directors. A transaction in which a director has a conflict of interest may be approved in advance by affirmative vote of a majority of the board of directors, or a committee of the board of directors. At the staff level, notice of potential conflicts of interest are provided to the supervisor. Significant or complex conflicts are examined and resolved by the executive staff.

The organization is committed to attracting, retaining, and motivating highly qualified employees and leadership essential to achieving our mission. Compensation is designed to be fair, equitable, and aligned with industry standards while ensuring fiscal responsibility. We strive to provide compensation that reflects the following key principles: benchmarking against similar organizations in the nonprofit and private sectors to ensure they remain competitive and capable of attracting top talent, a combination of base salary and performance-based incentives that recognize individual and organizational achievements, equity among all employees with consistent evaluation processes for setting and reviewing salaries, alignment with the organization's values, mission, and financial position. The executive committee (a sub-committee of the board of directors) reviews and approves the ceo's compensation and provides an overview of the process, including performance evaluation and approved compensation, to the full board of directors. The ceo sets compensation for officers and key employees with the executive committee serving in an oversight and advisory role. The executive committee reviews performance and comparable market data for each officer and key employee and conducts detailed discussions with the ceo regarding compensation for each of these positions. An overview of the executive committee meeting related to the compensation review is prepared following the meeting and provided to the full board of directors for review.

Form 990, Part XI, Line 9, Changes in Net Assets

Habitat for humanity sarpy county was dissolved in 2024, with all activity in sarpy and cass counties absorbed into, and managed by habitat for humanity of omaha. Upon dissolution, the assets of habitat sarpy were distributed, effectively settling its intercompany debt to hfho real estate holdings.

Financial Statement Notes

PART X, LINE 2:

Habitat omaha, habitat sarpy, hoams, and hfho reh have each received exemption from federal income taxes under section 501(c)(3) of the internal revenue code and are not classified as private foundations. As such, no provision for income taxes is reflected in the consolidated financial statements. 1701, llc is a disregarded entity for income tax purposes, so it is considered a part of habitat omaha's tax exemption. Habitat is required to file separate form 990's, return of organization exempt from income tax, for each of the four tax-exempt entities noted above. Habitat's returns are subject to review and examination by federal authorities. As of december 31, 2024, habitat is not aware of any uncertain tax positions that would qualify for either recognition or disclosure in the consolidated financial statements. Tax years subsequent to 2021 remain subject to examination by major tax jurisdictions. Habitat has concluded that there are no significant uncertain tax positions requiring disclosure, and there are no material amounts of unrecognized tax benefits.
