Mission

The tri-institutional therapeutics discovery institute, inc. Was organized and is operated as an independent, non-profit corporation, controlled by leading not-for-profit academic, medical and research institutions, to further and improve health and the diagnosis, prevention and treatment of disease through futhering and improving translational research, generate innovative proof-of-concept studies, and advance the scientific activities of the controlling institutions' (memorial sloan kettering cancer center, the rockefeller university and weil cornell medical college)faculty, fellows and students in aspects of translational research, chemistry, pharmacology, and drug discovery.

Affiliated organizations perform various administrative functions for tdi including accounting, purchasing and treasury.

All board members receive a copy of form 990 two weeks in advance of its filing. Board members are encouraged to contact management if they have any questions.

Officers, directors or trustees submit annual conflict of interest questionnaires to management.

Form 990, Part VI, Section B, Line 15

Compensation for the director is established and approved by the compensation committee of the board of trustees. Such compensation is established through review of comparability data and contemporaneous substantiation of the deliberation and decision. The process includes use of an independent compensation consultant, compensation survey of peer institutions and review of other form 990s. Specific reviews occur on an annual basis. A staff secondment agreement was entered into on july 6, 2014 between cornell university on behalf of its weill cornell medical college (wcmc) and tdi. The agreement states that wcmc will provide seconded employees to tdi. The agreement further states that wcmc will provide all salaries and benefits to all seconded employee and be responsible for all tax reporting and withholdings. In turn, tdi agrees to reimburse wcmc for all related employment costs. The term of the agreement is one year expiring on june 30, 2015, and shall be renewed thereafter for successive one year terms unless it is terminated by either party. An updated agreement was signed and expires on december 31, 2020. Tdi had 46 seconded employees in 2020.

Tdi has adopted a formal conflict of interest policy in order to protect the interest of tdi when it is contemplating entering into a transaction or arrangement where the financial interests of an officer or director of the institute may diverge from the interests of the institute. On an annual basis, each director and officer shall sign a statement which affirms such person: a. Has received a copy of the conflict of interest policy; b. Has read and understands the policy; c. Has agreed to comply with the policy, and d. Understands the institute is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one of more of its tax-exempt purposes. The tdi by-laws state that the board consist of a minimum total of two directors from each founding institution, for a total of nine directors; none of whom had a business relationship outside of their own institution.
