Management helped prepare and conducted a detailed review of the form 990. A copy of the form 990 is sent electronically by management to the full board of directors for review prior to its submission to the irs. It is sent with a cover memo highlighting key items. Board members are invited to reply electronically with comments or questions.

Board members submit annual disclosures; to date there have not been any conflicts to monitor.

Form 990, Part VI, Section B, Line 15

The board of directors, established a compensation committee, which consisted of the 4 independent members. The committee chair conducted a market analysis and then presented findings and recommendations to the rest of the committee, who met and voted on the amount of compensation for the president and ceo. The board of directors formally delegates to the president and ceo the setting of compensation for other employees, but reviews and approves the report on the compensation of the highest paid employees. In fy 18, the cfe fund hired an external firm to review the organization-wide compensation scheme; the firm provided detailed comparables and an analysis which informed current compensation for all employees.
