An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”

“California Waterfowl Association has been granted tax-exempt status by the Internal Revenue Service pursuant to code section 501(c)(3) and also by the California Revenue and Tax Code Section 23701e. Accordingly, no provision for income taxes has been included in the accompanying financial statements. However, the Association files, when necessary, unrelated business income tax returns. The subsidiaries of the Association are not tax-exempt entities but are considered pass-thru entities for tax purposes which are subject to certain minimum tax payments of $800 each in the state of California. The Association and its subsidiaries have accounted for uncertainty in income taxes through the use of a comprehensive model for recognizing, measuring, presenting and disclosing in the financial statements tax positions taken or expected to be taken on a tax return. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The effect of applying this model and the resulting identification of uncertain tax positions, if any, were not considered significant for financial reporting purposes. Management does not anticipate any changes in unrecognized tax benefits or modeling of those benefits in the next twelve months. The Association would recognize any interest accrued and penalties related to unrecognized tax benefits in tax expense. During the years ended March 31, 2015 and 2014, the Association did not recognize any interest or penalties. The Association is subject to filing of U.S. Federal and California informational returns. Federal returns for 2010 through 2012 and California returns for 2009 through 2012 are currently open for potential Federal and state examinations.”

Accordingly, no provision for income taxes has been included in the accompanying financial statements. However, the Association files, when necessary, unrelated business income tax returns. The subsidiaries of the Association are not tax-exempt entities but are considered pass-thru entities for tax purposes which are subject to certain minimum tax payments of $800 each in the state of California. The Association and its subsidiaries have accounted for uncertainty in income taxes through the use of a comprehensive model for recognizing, measuring, presenting and disclosing in the financial statements tax positions taken or expected to be taken on a tax return. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The effect of applying this model and the resulting identification of uncertain tax positions, if any, were not considered significant for financial reporting purposes. Management does not anticipate any changes in unrecognized tax benefits or modeling of those benefits in the next twelve months. The Association would recognize any interest accrued and penalties related to unrecognized tax benefits in tax expense. During the years ended March 31, 2015 and 2014, the Association did not recognize any interest or penalties. The Association is subject to filing of U.S. Federal and California informational returns. Federal returns for 2010 through 2012 and California returns for 2009 through 2012 are currently open for potential Federal and state examinations. |

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. |
