The corporate member of lluch pursuant to section 9310 of the california nonprofit religious corporation law shall be loma linda university health, a california non-profit religious corporation, acting by and through its board of trustees. Family relationships may exist among other officer's, director's, or key employees of other related exempt organizations. The nature of the business relationship is employment.

Lluh, as the corporate member, elects the board of trustees at its quinquennial meeting. Lluh shall also have the power to fill vacancies on the board of trustees between the quinquennial organization meetings.

Lluh, as corporate member, at each regular or special meeting, shall inform itself on the business of the children's hospital to be transacted; shall receive the annual report of the children's hospital budget and audit, and transact such other business as may be requested by the children's hospital board. Further functions of the member are: (1) to remove from office any trustee of the children's hospital with or without cause. (2) to review and consult with the children's hospital board regarding the appointment of the children's hospital president and the chief executive officer. However, the appointment and removal of the president and the chief executive officer are solely the legal responsibility of the lluch board. (3) to approve all changes to the articles of incorporation and by-laws. (4) to approve any merger, consolidation, dissolution, sale or transfer of more than twenty-five percent of the assets of lluch. (5) to approve any significant change in the corporate purpose of lluch.

The board of trustees makes the decisions regarding questions which have not been satisfactorily answered after administrative consideration.

Lluh, lluch's parent organization, employs an independent outside consulting firm to benchmark compensation for lluh employees. Loma linda university children's hospital ceo/president is employed by lluh. The lluh executive compensation committee uses the results of the independent survey to establish pay scales for the next fiscal year. The executive compensation committee sets the total compensation below the industry mean and median amounts provided in the survey. The executive compensation committee is composed of trustees appointed by the lluh board who are independent of lluh's management. The executive compensation committee is appointed by the lluh board of trustees to have direct responsibility for establishing compensation, policies, and benefits for the senior executives of lluh. The committee's process includes contemporaneous substantiation of deliberations and decisions. The process was last undertaken in december of 2023 for all officer's of loma loma linda university children's hospital.

PART X, LINE 2:

The explaination below is taken from the "combined financial statements and supplementary information" for loma linda university medical center and affiliates years ended june 30, 2024 and june 30, 2023. The principal operations of llumc are exempt from taxation pursuant to irc section 501(c)(3) and the related state provisions. Accounting standards codification topic (asc) 740, income taxes, clarifies the accounting for income taxes by prescribing a minimum recognition threshold that a tax position is required to meet before being recognized in the financial statements. Asc 740 also provides guidance on derecognition, measurement, classification, interest and penalties, disclosure, and transition. The guidance is applicable to pass-through entities and tax-exempt organizations. No significant tax liability for tax benefits, interest or penalties was accrued at june 30, 2024 or june 30, 2023. Llumc currently files form 990 (informational return of organizations exempt from income taxes) and form 990-t (business income tax return for an exempt organization) in the u.s. Federal jurisdiction and the state of california for each tax-exempt organization as appropriate. Llumc is not subject to income tax examinations prior to 2020 in major jurisdictions.
