“The organization has Members (Trustees) whose responsibilities are to protect and promote the original spirit and mission of the Corporation. Its specific responsibilities include the appointment, election and removal of members of the Board of Directors; the amendment of the Certificate of Formation and the adoption, revision or repeal of the Bylaws; and the response to inquiries from the Board of Directors on matters relating to the spirit and the mission of the Corporation. Additionally, there can be no lease, assignment, transfer or encumbrance of any substantial part of the real property of the Corporation nor action taken to dissolve or terminate the Corporation without prior approval of the Members. Aside from the appointment of the initial Board of Directors, the Members have delegated decision making to the Board of Directors (governing body), who are responsible for managing and directing the operation of the Corporation in accordance with its spirit and mission. The Board of Directors present recommendations to the Members who in turn delegate their authority so long as decisions/actions protect and promote the original spirit and mission of the Corporation.”

Among its responsibilities include reviewing the distribution and expertise needs of the Board in anticipation of future vacancies and work to enhance the diversity of the Board; solicit nominations for anticipated vacancies, maintain a file of potential Board members; and submit potential nominees to the Board of Directors for their review and potential submission to the Members for appointment.”
