Mission

Deep Vellum Publishing is a not-for-profit literary publisher that seeks to enhance the open exchange of ideas among cultures and to connect the worlds greatest untranslated contemporary writers of literature and creative nonfiction with English-language readers for the first time through original translations, while facilitating educational opportunities for students of translation in the Dallas community.

To bring the world into conversation through literature by publishing underrepresented, marginalized, and vital literary voices, while building a more vibrant literary community in Dallas and beyond.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Persons covered - Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest.Monitoring proposed or ongoing transactions for conflicts - An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the governing board or committee with governing board delegated powers considering the proposed transaction or arrangement. Each covered person must annually sign a statement which affirms that such person has received, has read, and understands the Policy and agrees to comply with it. Periodic reviews are to be conducted which, at a minimum, include the following subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the results of arm's length bargaining; and whether partnerships, joint ventures, and arrangements with management organizations conform to the Organization's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes, and do not result in inurement, impermissible private benefit, or an excess benefit transaction.Dealing with potential conflicts and the level at which determinations of whether a conflict exists are made - After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.Dealing with actual conflicts, the level at which actual conflicts are reviewed, and restrictions imposed on the interested person - An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairman of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.

The executive director's compensation was determined by the board upon consultation with an independent consultant, review of Forms 990 of other nonprofit publishing houses and literary arts centers, and consideration of the GuideStar Nonprofit Compensation Report and informal surveys of other publishing industry professionals. This process was last undertaken in June 2019.

Form 990, Part III, Line 2: New Services

During the year, the Organization's mission changed. Previously, its mission was "to enhance the open exchange of ideas among cultures and to connect the world's greatest untranslated contemporary writers of literature and creative nonfiction with English-language readers for the first time through original translations, while facilitating educational opportunities for students of translation in the Dallas community." It since changed to the following: "to bring the world into conversation through literature by publishing underrepresented, marginalized, and vital literary voices, while building a more vibrant literary community in Dallas and beyond."Consistent with that change, the Organization expanded its service offerings in 2019 by acquiring two new imprints (substantially by donation): Phoneme and A Strange Object. Phoneme expanded the Organization's existing offerings by bolstering its backlist of poetry works, increasing the diversity of languages and countries represented, and adding bold, prize-winning books often from less represented languages and places, including some of the first-ever books translated into English from languages such as Lingala, Mongolian, Uyghur, Sierra Zapotec, and more.A Strange Object represented a new endeavor. It provided a backlist of American literature to allow the Organization to include debut works of the highest artistic literary merit by American writers who are given the chance to be published and have their works read for the first time. The writers, over half women, are all accomplished MFA holders, teachers, and artists whose stories blur genres, travail the globe bringing marginalized stories and voices to the forefront, illuminate the extraordinary, and bring the reading world heightened empathetic connections, as recent studies have shown the best literary fiction can do. Books chosen to be published are selected without regard to sales potential and solely for their literary merit and for their lasting contribution to reading culture, with special attention given to writers from traditionally marginalized backgrounds who are underrepresented in corporate publishing.All new works are available to readers worldwide in print and digital formats and are distributed to the bookselling trade internationally. Such new activities are significantly funded by contributions from the general public.

The acquisitions of these presses doubled the number of Deep Vellum books in our backlist, increased our sales figures, expanded our editorial offerings into new genres, and allowed us access to a new range of readers and supporters in cities across the United States. We also launched a brand-new publishing imprint weve named La Reunion Publishing to focus on the undertold, underrepresented stories of Texas.With these acquisitions and the founding of the new La Reunion imprint, as of December 31, 2019, Deep Vellum had published 91 books from 32 languages and 60 countries with complete gender parity among our authors, and for the first time, 4 of these books are by Dallas authors. Deep Vellum received unprecedented support for its mission in 2019, receiving three grants from the Texas Commission on the Arts, two grants from the City of Dallas Office of Arts & Culture, and our first-ever grant from the National Endowment for the Arts, alongside grant support from the Embrey Family Foundation, Moody Fund for the Arts, Walmart, Literature Translation Institute of Korea, Swedish Arts Fund, Cultural Services of the French Embassy, PEN Ukraine, and UT Dallass Ackerman Center for Holocaust Studies.In the broader literary community, Deep Vellum participated in the Brooklyn Book Festival, Texas Book Festival (Austin), American Library Association Conference (Washington, DC), Social Venture Partners BigBang! (Dallas), TyPo Holiday Market (Oak Cliff), East Austin Studio Tour, and the Mountains & Plains Independent Booksellers Association Conference (Denver).Deep Vellum was featured as the Spotlight Publisher at the legendary City Lights Booksellers in San Francisco from October 2019 through the end of the year, with a dedicated bookshelf & signage. Previously, its mission was "to enhance the open exchange of ideas among cultures and to connect the world's greatest untranslated contemporary writers of literature and creative nonfiction with English-language readers for the first time through original translations, while facilitating educational opportunities for students of translation in the Dallas community." It since changed to the following: "to bring the world into conversation through literature by publishing underrepresented, marginalized, and vital literary voices, while building a more vibrant literary community in Dallas and beyond."Consistent with that change, the Organization expanded its service offerings in 2019 by acquiring two new imprints (substantially by donation): Phoneme and A Strange Object. Phoneme expanded the Organization's existing offerings by bolstering its backlist of poetry works, increasing the diversity of languages and countries represented, and adding bold, prize-winning books often from less represented languages and places, including some of the first-ever books translated into English from languages such as Lingala, Mongolian, Uyghur, Sierra Zapotec, and more.A Strange Object represented a new endeavor. It provided a backlist of American literature to allow the Organization to include debut works of the highest artistic literary merit by American writers who are given the chance to be published and have their works read for the first time. The writers, over half women, are all accomplished MFA holders, teachers, and artists whose stories blur genres, travail the globe bringing marginalized stories and voices to the forefront, illuminate the extraordinary, and bring the reading world heightened empathetic connections, as recent studies have shown the best literary fiction can do. Books chosen to be published are selected without regard to sales potential and solely for their literary merit and for their lasting contribution to reading culture, with special attention given to writers from traditionally marginalized backgrounds who are underrepresented in corporate publishing.All new works are available to readers worldwide in print and digital formats and are distributed to the bookselling trade internationally. Such new activities are significantly funded by contributions from the general public.

Each covered person must annually sign a statement which affirms that such person has received, has read, and understands the Policy and agrees to comply with it. Periodic reviews are to be conducted which, at a minimum, include the following subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the results of arm's length bargaining; and whether partnerships, joint ventures, and arrangements with management organizations conform to the Organization's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes, and do not result in inurement, impermissible private benefit, or an excess benefit transaction.Dealing with potential conflicts and the level at which determinations of whether a conflict exists are made - After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.Dealing with actual conflicts, the level at which actual conflicts are reviewed, and restrictions imposed on the interested person - An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairman of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.
