TEACHERS' RETIREMENT SYSTEM OF THE STATE OF ILLINOIS HAS ENGAGED INVESCO REAL ESTATE, AN INDEPENDENT MANAGEMENT COMPANY, TO MANAGE ALL ASPECTS OF THE ENTITY INCLUDING PREPARING THE FINANCIAL STATEMENTS AND TAX RETURNS. TEACHERS' RETIREMENT SYSTEM OF THE STATE OF ILLINOIS HAS THE ABILITY TO HIRE AND FIRE THE MANAGEMENT COMPANY AT ANY TIME, AND TEACHERS' RETIREMENT SYSTEM OF THE STATE OF ILLINOIS IS ULTIMATELY RESPONSIBLE FOR ALL DECISIONS. INVESCO PERSONNEL HOLD THE OFFICER POSITIONS, BUT TEACHERS' RETIREMENT SYSTEM OF THE STATE OF ILLINOIS HAS THE ABILITY TO REMOVE/CHANGE OFFICERS AT ANY TIME. SCHEDULE D, PART X, LINE 2: The TRS Portfolio had no uncertain tax positions which would require the TRS Portfolio to record a tax exposure liability as of and for the years ended June 30, 2019 and 2018. The TRS Portfolio expects no significant increases or decreases in unrecognized tax benefits due to changes in tax positions within one year of June 30, 2019. The TRS Portfolio has no significant interest or penalties relating to income taxes recognized in the accompanying combined consolidated financial statements as of and for the years ended June 30, 2019 and 2018. As of June 30, 2019 returns for the tax years 2016 through 2018 generally remain subject to examination by U.S. and various state and local tax jurisdictions. The TRS Portfolio includes investments that TRS owns directly and indirectly through title holding companies, wholly owned corporations, and limited partnerships. The title holding companies are tax exempt under Internal Revenue Code (IRC) Section 501(c)(25) and related state and local income tax law. With respect to TRS's direct interest in the limited partnerships, corporations, and wholly owned properties, no provision for income taxes is necessary as TRS is an integral part of the State of Illinois and is not subject to federal, state, and local income tax. Alternatively, the income that TRS generates is from the exercise of an essential governmental function and accrues to the State of Illinois and is therefore excluded from gross income under Section 115 of the IRC. Accordingly, the combined consolidated financial statements contain no federal, state, or local provision for income taxes.

The TRS Portfolio expects no significant increases or decreases in unrecognized tax benefits due to changes in tax positions within one year of June 30, 2019. The TRS Portfolio has no significant interest or penalties relating to income taxes recognized in the accompanying combined consolidated financial statements as of and for the years ended June 30, 2019 and 2018. As of June 30, 2019 returns for the tax years 2016 through 2018 generally remain subject to examination by U.S. and various state and local tax jurisdictions. The TRS Portfolio includes investments that TRS owns directly and indirectly through title holding companies, wholly owned corporations, and limited partnerships. The title holding companies are tax exempt under Internal Revenue Code (IRC) Section 501(c)(25) and related state and local income tax law. With respect to TRS's direct interest in the limited partnerships, corporations, and wholly owned properties, no provision for income taxes is necessary as TRS is an integral part of the State of Illinois and is not subject to federal, state, and local income tax. Alternatively, the income that TRS generates is from the exercise of an essential governmental function and accrues to the State of Illinois and is therefore excluded from gross income under Section 115 of the IRC. Accordingly, the combined consolidated financial statements contain no federal, state, or local provision for income taxes.
