Governance Explanations

Form 990, Part VI, Section A, line 6

Participating churches in the presbyteries supported by the Organization may apply for membership in the Organization. The Organization's Executive Committee reviews and approves such membership applications. Each member church with 500 or fewer Communing Members (as defined in the PCA Book of Church Order) may name one representative of the Organization and each member church will more than 500 Communing Members may name up to two representatives of the Organization. Additionally, if at least three member churches are a part of a presbytery, then that presbytery's Mission to North America Committee shall name one representative of the Organization. Representatives appointed by member churches and the MNA Committees are collectively referred to as the Representatives of the Members of the Organization ("Representatives").

Form 990, Part VI, Section A, line 7A

Issues that come before the Organization's member churches are voted on by the Representatives. The Representatives elect the Chairman, Vice-Chairman and At-Large Members of the Organization's Executive Committee from a slate of nominees made by the Organization's Nominating Committee (consisting of past Chairman of the Executive Committee and the Executive Director).

Issues that come before the Organization's member churches are voted on by the Representatives. The Representatives approve the Organization's budget and strategy and elect the Organization's Executive Director.

The Organization's top management official and top financial official each review the Form 990 prior to its filing with the IRS. A copy of the final Form 990 is also provided to the voting members of the Organization's governing body prior to its filing with the IRS.

The Organization's conflict of interest policy is distributed to each member of the Organization's Executive Committee, its officers and its key employees on an annual basis. Each such individual provides an annual disclosure statement indicating that they have received, read, understood and agreed to comply with the policy, certifying that: (1) they have no relationships or interests that present a conflict of interest, (2) they have one or more conflicts of interest that have been fully disclosed as required by the policy and have been properly administered in conformity with the policy, or (3) they have previously undisclosed conflicts of interest and disclosing the details of such conflicts. Any disclosure statements with previously undisclosed conflicts of interest are forwarded to appropriate Organization officials to take appropriate actions as required by the policy.

Form 990, Part VI, Section B, line 15A

The Organization's Executive Director is employed by St. Paul's Presbyterian Church of Orlando (PCA), Inc. ("the Church"), a member church which is a nonprofit organization, but is not "related" to the Organization for Form 990 reporting purposes, under an informal resource sharing arrangement with the Church. Pursuant to the informal arrangement, the Organization reimburses the Church for the cost of the time that the Executive Director spends performing services for the Organization. As a part of this reimbursement process, the Organization's Executive Committee, an independent group of individuals with respect to the Executive Director, annually reviews and approves the compensation of the Executive Director. The Executive Committee's review includes an evaluation of comparability data and decisions regarding the reasonableness of the Executive Director's compensation are contemporaneously substantiated.

Additional Explanations

Form 990, Part V, Line 2A:

Due to the financial constraints and limited resources of the Organization, the Organization has entered into an informal arrangement with St. Paul's Presbyterian Church of Orlando (PCA), Inc. ("the Church"), a member church which is a nonprofit organization, but is not "related" to the Organization for Form 990 reporting purposes. Pursuant to the arrangement, the Church employs the Organization's Executive Director and addresses payroll tax filing and reporting requirements associated with the Executive Director's employment. Under the informal arrangement, the Organization reimburses the Church for the cost of the time that the Executive Director spends performing services for the Organization. The Organization has therefore reported the reimbursement of the Executive Director's compensation on this Form 990, Part VII. However, the number of employees reported on the Organization's Form W-3, Transmittal of Wage and Tax Statements, is properly reported on this Form 990, Part V, Line 2a as zero, based on the aforementioned arrangement with the Church.

IRS990/Desc0Church planting: The Organization works closely with each presbytery's Mission to North American ("MNA") Committee (the committee that is responsible for starting new churches in that presbytery) to identify locations for new churches based on growth forecasts for each county and other demographic information. At the same time new locations are being identified, the Organization works with PCA-approved seminaries to identify potential future church pastors. The Organization visits seminaries, holds ministry luncheons, and establishes relationships with seminary students who show interest in being trained to start a new church.The Organization's goal is to plant four churches each year in the Florida presbyteries, through grant-making efforts to these new church starts and support for training programs to teach new pastors and their wives. The Organization's method for church planting includes a process of 1) prayer, 2) finding and developing pastors, 3) coaching and solving problems, 4) contributing time and talent, and 5) providing dedicated, reliable funding.

IRS990/MissionDesc0The Florida Church Planting Network is a voluntary association of participating churches within the Central Florida, North Florida, Southwest Florida, Korean Southeast, and Suncoast Presbyteries of the Presbyterian Church of America ("PCA") that plants and supports new churches, supports and promotes the growth of existing churches, and supports and promotes new and existing chapters of campus ministries. (PCA churches are divided into geographic areas and are referred to as presbyteries.)The Organization accomplishes its exempt purposes by 1) recruiting church planters, 2) strategically planting new Gospel Centered Presbyterian Church in America churches, 3) planting and supporting Reformed University Fellowship ministries on college campuses, 4) coaching and shepherding church planters and their wives, 5) promoting the spread of the reformed faith, and 6) providing financial resources for these activities.

IRS990/ProgSrvcAccomActy3Grp/Desc0Coaching and training activities: The Organization assists in providing training and assessment programs for new pastors such as the PCA church planter assessment programs which help develop recently-graduated seminary students. Furthermore, the Organization facilitates spaces for coaching of new church pastors, apprentices, and other interested pastors and teachers in the presbyteries. The Organization hosts periodic meetings with speakers with church planting experience to provide prayer as well as a time for sharing challenges and potential solutions within the context of church planting. The Organization also facilitates and organizes a support group for new church pastor's wives. One of the specific training programs developed by the Organization is the pastor apprentice training program. In the apprentice program, the Organization recruits qualifying seminary graduates to work for two years for one of the Organization's member churches in order to gain ministry experience and training. The Organization may make grants to the employing church to assist in the training and development of the pastor during this two-year training. Once the two year "apprenticeship" period is completed, the minister plants a church in one of the member presbyteries, with the Organization's ongoing training and support.

The Organization's Executive Committee reviews and approves such membership applications.
