Governance Explanations

Form 990, Part VI, Section B, line 11B

The annual audited financial statements which are approved by the board of directors are used to prepare the Form 990. The Form 990 is provided to the board of directors for review and approval. Once the Form 990 has been approved the return is filed with the IRS electronically.

Form 990, Part VI, Section B, line 12C

Conflicting interest transaction. The term "conflicting interest transaction" means a contract, transaction, or other financial relationship between the corporation and a director of the corporation, or between the corporation and a party related to a director (as hereinafter defined), or between the corporation and an entity in which a director of the corporation is a director or officer or has a financial interest. A party related to a director. The term "a party related to a director" means a spouse, a descendent, an ancestor, a sibling, the spouse or descendent of a sibling, an estate or trust in which the director or a party related to a director has a beneficial interest, or an entity in which a party related to a director is a director or an officer, or has a financial interest, any other person or entity deemed a "party related to a director" as that term is defined in section 7-128-501(5) of the Act, as amended from time to time. Interested loans. No loans shall be made by the corporation to its directors or officers. Any director or officer who assents to, or participates in, the making of any such loan shall be liable, at a minimum, to the corporation for the amount of such loan until it is repaid in full. Disclosure. Directors shall disclose any known present or potential conflicts of interest, and any known or potential transaction with a disqualified person as that term is defined in section 4958(f)(1)(a) of the Internal Revenue Code, which disclosure shall be reduced to writing to the board prior to or at the time set for voting on any such transaction. Written disclosures shall be attached to the minutes of the meeting at which, or the first meeting after, such disclosure has been made. Disclosure shall additionally be made in accordance with section 7-128-501 of the Act and C.R.S. 24-18-110. Conflicting interest transactions. Any conflicting interest transaction shall be null and void and shall be automatically set aside unless it meets the requirements set forth below. No conflicting interest transaction shall be void or voidable or be enjoined, set aside, or give rise to an award of damages or other sanctions in a proceeding by a member or by or in the right of the corporation, solely because the conflicting interest transaction involves a director of the corporation or a party related to adirector or an entity in which a director of the corporation is a director or officer or has a financial interest or solely because the director is present at, or participates in, the meeting of the corporation's board or of the committee of the board that authorizes, approves, or ratifies the conflicting interest transaction or solely because the director's vote is counted for such purpose if: The material facts as to the director's relationship or interest and as to the conflicting interest transaction are disclosed or are known to the board or the committee, and the board or committee in good faith authorizes, approves, or ratifies the conflicting interest transaction by the affirmative vote of a majority of the disinterested directors, even though the disinterested directors are less than a quorum; or The conflicting interest transaction is fair to the corporation. Interested directors and quorum requirements. Interested directors may be counted in determining the presence of a quorum at a meeting of the board of directors or of a committee, which authorizes, approves, or ratifies the conflicting interest transaction and may provide information regarding such transactions if such discussion is made in public session and recorded. Board members with conflicting interests shall not attempt to persuade other board members regarding such transactions and may never vote on such transactions. Failure to abide by this provision may constitute grounds for removal of a board member.

Form 990, Part III, Line 4A, Program Service Accomplishments

In 2013, the city of Durango, Durango Fire Department and CDOT requested the school relocate to a more suitable site. The school secured land for a permanent site in the Twin Buttes development and settled into a 2nd temporary home. In the spring of 2020 Animas High School was awarded a grant through the Building Excellent Schools Today (BEST) Colorado Department of Education (CDE) program. AHS broke ground last year on a new 40,500 square foot facility on the campus of Fort Lewis College. The building was designed for project-based learning and includes small breakout spaces, larger convening areas and ample access to natural light. It also includes walls that can open for multi-class collaboration and spaces for curating and displaying student work, a maker space, a music lab and connected indoor/outdoor spaces to support large scale projects. The unique location on a college campus increases opportunities for student and faculty collaboration and offers greater access to higher education. Completion date: December 2022 Move in date: January 2023

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2In 2013, the city of Durango, Durango Fire Department and CDOT requested the school relocate to a more suitable site. The school secured land for a permanent site in the Twin Buttes development and settled into a 2nd temporary home. In the spring of 2020 Animas High School was awarded a grant through the Building Excellent Schools Today (BEST) Colorado Department of Education (CDE) program. AHS broke ground last year on a new 40,500 square foot facility on the campus of Fort Lewis College. The building was designed for project-based learning and includes small breakout spaces, larger convening areas and ample access to natural light. It also includes walls that can open for multi-class collaboration and spaces for curating and displaying student work, a maker space, a music lab and connected indoor/outdoor spaces to support large scale projects. The unique location on a college campus increases opportunities for student and faculty collaboration and offers greater access to higher education. Completion date: December 2022 Move in date: January 2023

The term "conflicting interest transaction" means a contract, transaction, or other financial relationship between the corporation and a director of the corporation, or between the corporation and a party related to a director (as hereinafter defined), or between the corporation and an entity in which a director of the corporation is a director or officer or has a financial interest. A party related to a director. The term "a party related to a director" means a spouse, a descendent, an ancestor, a sibling, the spouse or descendent of a sibling, an estate or trust in which the director or a party related to a director has a beneficial interest, or an entity in which a party related to a director is a director or an officer, or has a financial interest, any other person or entity deemed a "party related to a director" as that term is defined in section 7-128-501(5) of the Act, as amended from time to time. Interested loans. No loans shall be made by the corporation to its directors or officers. Any director or officer who assents to, or participates in, the making of any such loan shall be liable, at a minimum, to the corporation for the amount of such loan until it is repaid in full. Disclosure. Directors shall disclose any known present or potential conflicts of interest, and any known or potential transaction with a disqualified person as that term is defined in section 4958(f)(1)(a) of the Internal Revenue Code, which disclosure shall be reduced to writing to the board prior to or at the time set for voting on any such transaction. Written disclosures shall be attached to the minutes of the meeting at which, or the first meeting after, such disclosure has been made. Disclosure shall additionally be made in accordance with section 7-128-501 of the Act and C.R.S. 24-18-110. Conflicting interest transactions. Any conflicting interest transaction shall be null and void and shall be automatically set aside unless it meets the requirements set forth below. No conflicting interest transaction shall be void or voidable or be enjoined, set aside, or give rise to an award of damages or other sanctions in a proceeding by a member or by or in the right of the corporation, solely because the conflicting interest transaction involves a director of the corporation or a party related to adirector or an entity in which a director of the corporation is a director or officer or has a financial interest or solely because the director is present at, or participates in, the meeting of the corporation's board or of the committee of the board that authorizes, approves, or ratifies the conflicting interest transaction or solely because the director's vote is counted for such purpose if: The material facts as to the director's relationship or interest and as to the conflicting interest transaction are disclosed or are known to the board or the committee, and the board or committee in good faith authorizes, approves, or ratifies the conflicting interest transaction by the affirmative vote of a majority of the disinterested directors, even though the disinterested directors are less than a quorum; or The conflicting interest transaction is fair to the corporation. Interested directors and quorum requirements. Interested directors may be counted in determining the presence of a quorum at a meeting of the board of directors or of a committee, which authorizes, approves, or ratifies the conflicting interest transaction and may provide information regarding such transactions if such discussion is made in public session and recorded. Board members with conflicting interests shall not attempt to persuade other board members regarding such transactions and may never vote on such transactions. Failure to abide by this provision may constitute grounds for removal of a board member.
