“The society is managed under an agreement with parthenon management group of brentwood, tennessee, effective december 2023 through december 1, 2027. The agreement provides for automatic one-year renewals unless either party gives 90 days written notice before the end of the term. Parthenon management group oversees day-to-day operations, while the societys board retains full oversight and fiduciary responsibility.”

“The society has one class of members with voting rights as defined in the bylaws; it has no stockholders or ownership interests.”

“The societys nominating committee, appointed by the board of directors (bod) for two-year terms, consists of at least three members, two of whom must be voting members of the society. The committee ensures there are qualified candidates to fill board and officer vacancies by soliciting nominations as needed, reviewing applications, verifying eligibility and membership status, and assessing conflicts of interest in accordance with the societys coi policy. Final slates of qualified candidates are presented to voting members (for board elections) or to the bod (for officer elections) at least 30 days prior to the annual meeting.”

“The committee reviews grievances and recommends responses. In addition,the legal, business, & ethics committee shall periodically review thebylaws, policies and procedures, conflict of interest forms, and other officialdocuments, and make recommendations to the board for any proposedchanges.this committee shall be responsible for reviewing all board of director andcommittee chairs and co-chairs conflicts of interest, except for the lbecommittee, whose co-chairs should be reviewed by the society secretary.”
