Governance Explanations

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by an independent cpa firm and reviewed by the organization's top management. The reviewed form 990 is then forwarded to the board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, member of a committee with board delegated powers, or any other person who is a "disqualified person," as defined in code section 4958(f)(l) and as amplified by section 53.4958-3 of the treasury regulations, who has a direct or indirect financial interest is an interested person. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with board of directors delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board of directors or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the board of directors or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the board of directors or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board of directors or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board of directors or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15

The two outside directors reviewed and determined the compensation. It was based on cost of living adjustment plus a small amount for performance. The organization's independent board of directors approve all officer and employee compensation annually. The reasonableness and comparability of compensation is reviewed annually and is based on a local nonprofit survey from similar nonprofit organizations. This activity is recorded in the board minutes.

Form 990, Part VI, Section C, Line 19

The organization makes available its governing documents, conflict of interest policy, and financial statements upon request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0FORM 990 IS PREPARED BY AN INDEPENDENT CPA FIRM AND REVIEWED BY THE ORGANIZATION'S TOP MANAGEMENT. THE REVIEWED FORM 990 IS THEN FORWARDED TO THE BOARD OF DIRECTORS PRIOR TO FILING WITH THE IRS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1ANY DIRECTOR, PRINCIPAL OFFICER, MEMBER OF A COMMITTEE WITH BOARD DELEGATED POWERS, OR ANY OTHER PERSON WHO IS A "DISQUALIFIED PERSON," AS DEFINED IN CODE SECTION 4958(F)(L) AND AS AMPLIFIED BY SECTION 53.4958-3 OF THE TREASURY REGULATIONS, WHO HAS A DIRECT OR INDIRECT FINANCIAL INTEREST IS AN INTERESTED PERSON.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE TWO OUTSIDE DIRECTORS REVIEWED AND DETERMINED THE COMPENSATION.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE ORGANIZATION MAKES AVAILABLE ITS GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS UPON REQUEST.
