Governance Explanations

Form 990 Part VI Line 1A

The executive committee shall have the power of the board. The executive committee shall be comprised of the chairperson, the vice chairperson, the secretary, the treasurer and two other members of the board selected at large by the chairperson.

The board consists of between three and fifteen directors. At least one voting member of the board shall be a member of the kansas city board of parks and recreation commissioners (hereinafter "parks board"). The other members of the board shall be elected by the parks board, subject to approval by the mayor of kansas city, missouri (hereinafter "mayor"). In making these appointments, they shall endeavor to choose from representatives of organizations with stakeholder interests in the kansas city museum including civic leaders and associations that the parks board believes will further the purpose of the corporation (kansas city museum foundation). Each board member shall be appointed for a three year term. The terms will be staggered.

The kansas city museum foundation (foundation) follows the conflict of interest policies and procedures of the city of kansas city, missouri. Foundation directors are required to disclose any actual or potential conflicts and must recuse themselves from related discussion, deliberation, and voting if a conflict arises. All conflict reviews and determinations are conducted by the city, and the foundation does not maintain or administer a separate internal process.

The organization's permanent collection consists of over 100,000 artifacts and archival materials. The value of the organization's collection of art objects is not capitalized and has been excluded from the statement of financial position because the collection is (a) held for public exhibition, education, or research in furtherance of public service rather than financial gain; (b) are protected, kept unencumbered, cared for and preserved; and (c) subject to an organizational policy that requires the proceeds of items that are sold to be for the acquisitions of new collection items, the direct care of existing collections, or both.
