Mission

The purpose and mission of the organization is to support and assist the university of oregon foundation in its activities by management and administration of organization assets representing privately donated funds, by encouraging contributions to the foundation and university from students, alumni, faculty, friends, corporations, foundations, and other organizations, by leading advocacy for the foundation or the university, and by developing, financing, constructing, acquiring and operating facilities for or on behalf of the foundation.

Governance Explanations

Form 990, Part VI, Section A, line 7A

Directors shall be appointed, and the number of Directors determined, by the Board of Trustees of the Foundation, or by any committee thereof as designated by the Board of Trustees of the Foundation.

Form 990, Part VI, Section B, line 11B

The audit committee meets to review and approve Form 990 prior to filing. A report is made at the following full board meeting. A copy of Form 990 is made available electronically to all trustees prior to filing. The Foundation annually provides training to the trustees to understand the content of Form 990 both in general and as to specific information for the current filing year.

Form 990, Part VI, Section B, line 12C

The review of the conflict of interest policy is documented in the "disclosure of potential conflict of interest statement" form. Both the trustees and employees review the conflict of interest policy statement and complete a conflict of interest disclosure form annually and upon occurrence of a material change in the information disclosed. All forms are logged and reviewed to identify those who have indicated a potential conflict of interest. For trustees, a conflict of interest log is maintained and available for reference at all board meetings. Prior to any vote, the board chair will identify any individuals who must abstain from voting due to a conflict of interest. For employees, any true conflicts are discussed with the employee and human resources and the employee will be restricted from participation in a transaction directly related to that conflict.

Form 990, Part VI, Section C, line 19

The organization's financial information is consolidated with the University of Oregon Foundation in the foundation's annual report, which includes financial statements. The foundation's annual report is made available to the public via the foundation website, www.uofoundation.org. Printed copies of the annual report are available upon request. Governing documents and conflict of interest policy are made available to the public via the foundation website.

Financial Statement Notes

Part V, Line 4:

Endowed funds are invested and will be maintained in perpetuity. The investment earnings will be expended to support the mission of the University of Oregon.

Part X, Line 2:

Financial statement footnote reporting uncertain tax positions: the organization recognizes the tax benefit from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the tax authorities, based on the technical merits of the position. The tax benefit is measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The organization had no unrecognized tax benefits which would require an adjustment at june 30, 2017. The organization files an exempt organization return in the u.s. Federal jurisdiction.

THE TAX BENEFIT IS MEASURED BASED ON THE LARGEST BENEFIT THAT HAS A GREATER THAN 50% LIKELIHOOD OF BEING REALIZED UPON ULTIMATE SETTLEMENT.
