The sole member of the US Chamber of Commerce Foundation is the Chamber of Commerce of the USA, which has the right to elect or appoint a majority of members of the governing body of US Chamber of Commerce Foundation.

The following actions require the prior written approval of the Member: 1 Amending the Certificate of Incorporation; 2 Amending or repealing the bylaws or adopting new bylaws; 3 Adopting an agreement of merger or consolidation; 4 Adopting a plan of wind-up and dissolution; 5 The sale, lease, transfer, or other disposition of all or any substantial part of the Corporation's assets or properties; and 6 The creation of a subsidiary or another related organization.

The draft Form 990 was provided in advance to the Board of Directors of the US Chamber of Commerce Foundation and reviewed individually with each member prior to filing. The board receives the most recently completed tax return at the next regularly scheduled meeting. The 990 is reviewed by an independent accounting firm.

Form 990, Part VI, Section B, line 12C

The US Chamber of Commerce Foundation requires employees to follow and on an annual basis review and attest that they will follow the Employee Standards of Conduct and Corporate Accountability Policy, which requires employees to: (i) identify and immediately disclose to supervisors, a senior member of Human Resources, or the General Counsel's office, potential conflicts of interest and act to avoid the conflict; (ii) immediately refrain from using personal influence to encourage the US Chamber of Commerce Foundation to enter into a transaction in which there is a conflict of interest; and (iii) immediately excuse themselves from participating in any discussions regarding such transactions with directors, officers, and employees of the US Chamber of Commerce Foundation. The Code of Ethics for the Board of Directors of the US Chamber of Commerce Foundation requires directors to: (i) avoid participating in decisions where their personal, business or organizational interests may create actual or apparent conflicts of interest; and (ii) immediately disclose to the General Counsel's office the existence and material facts of any transaction, relationship or circumstance that he or she reasonably believes could give rise to an actual or apparent conflict of interest. In addition, the US Chamber of Commerce Foundation issues an annual written questionnaire to all members of the board of directors, officers and key employees asking for information on potential conflicts of interest, which are evaluated by the General Counsel's office in consultation with other senior management and employees, as appropriate. Any conflicts of interest are resolved in accordance with the US Chamber of Commerce Foundation's conflicts of interest policies.

Form 990, Part VI, Section B, line 15

Part VI Line 15a: The process for determining total compensation for the President is as follows: Total compensation is reviewed annually by an independent compensation consultant. The consultant prepares a compensation study primarily utilizing, as available, Forms 990 and surveys of comparable organizations with similar positions. Based on this information, total compensation is determined by the Chamber of Commerce of the USA's President and CEO and the Chief Human Resource Officer and approved by the Chair of the US Chamber of Commerce Foundation Board of Directors on an annual basis. Part VI Line 15b: The process for determining total compensation for key employees, whose compensation is charged to the US Chamber of Commerce Foundation, is as follows: An independent compensation consultant provides supporting data and analysis to the US Chamber of Commerce Foundation's President and the Chamber of Commerce of the USA's Chief Human Resource Officer who establish job classifications and compensation ranges for all employees. Based on this information, individual total compensation is determined by the individual's supervisor, the US Chamber of Commerce Foundation's President, and the Chamber of Commerce of the USA's Chief Human Resource Officer on an annual basis.

The Form 990 is made available to any member of the public who requests a copy. Any requestor is forwarded to the Administrative Director of Finance of the Chamber of Commerce of the USA, who will forward a copy of the document to the requestor. The organization's governing documents, conflict of interest policy, and the financial statements are not made available to the public.
