“The founding members of women's world golf rankings, inc. Consist of australian ladies professional golf, japan ladies professional golf association, korean ladies professional golf association, ladies golf union, ladies european tour, ladies professional golf association, and united states golf association. Membership is open to entities that meet and maintain eligibility guidelines, including women's golf associations that maintain a professional women's golf tour in accordance with eligibility guidelines established by the board.”

“The women's world golf rankings, inc. Bylaws grant authority to the members to appoint representatives to the board of directors. In addition to the executive director, the board consists of tour representative directors from each of the ladies professional golf association, japan ladies professional golf association, korean ladies professional golf association, ladies european tour and one representative from another tour association. There are also five independent directors comprised of one representative from each of the united states golf association, ladies golf union, either the japan golf association or the korean golf association, one representative selected from the official information technology provider of the corporation's ranking system of record, and the royal and ancient golf club.”

“All members have equal voting rights, and are subject to the same rights and obligations, including the right to approve certain significant transactions proposed by the board of directors as set forth in the by-laws, provided that, select original members are designated founding members and may not be terminated from membership. The board is comprised of designated member representatives as described in question 7a above, and is self-perpetuating. Any founding member may remove its designated representative on the board upon written notice to the board or the executive director. No member has a specific right to receive any portion of profits, excess dues or net assets upon liquidation.”
