Form 990, Part VI, Section B, Line 12C

A formal written conflict of interest policy has been adopted by the organization. The board members are cognizant of the possibility of conflicts of interest and voluntarily provide the organization with any possible conflicts. Potential conflicts are discussed by the board and minutes will document the discussion and decision making process. In the event of a conflict, procedures will be taken to mitigate the conflict.

Form 990, Part VI, Section B, Line 15B

Via art fund's executive compensation program is administered by the board of directors through its executive compensation and evaluation committee. The compensation committee is responsible for establishing and maintaining a competitive compensation program for the paid key executives of the organization. The committee meets annually or as needed to review the compensation program and make recommendations, as appropriate. A performance evaluation is conducted on an annual basis and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations. Following this review, compensation, including annual base salary plus any year-end bonus, is approved for the president/executive director and other selected key executives, and objectives and goals for the upcoming year are established. During 2020, the organization contracted with phillips oppenheim to recruit the inaugual executive director, who is expected to be hired in 2021.
