Governance Explanations

Form 990, Part VI, Section A, Line 7A

Directors shall be elected by a majority vote of all members of the board of directors serving at such time; provided, however, that a majority of the directors so elected and serving at any time shall be persons ratified and approved by resolution of the board of trustees of wayne county hospital in order to ensure that the corporation is and will be responsive to the needs and requirements of wayne county hospital.

An independent accounting firm prepares and reviews the form 990. The form 990 is then reviewed by the organization's president of the board of directors. All of the president's questions are addressed and any corrections or clarifications that need to be made are made. The final form 990 with all required schedules is then provided to all voting members of the board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person has received a copy of the policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.
