USA Triathlon of Colorado

“USA Triathlon of Colorado is a membership organization. Membership is open to any individual who is an athlete, coach, trainer, manager, club member, volunteer, administrator, or official active in the sports of triathlon, or to any other individual who is interested in the goals and objectives of USA Triathlon of Colorado. The classes of members are elite athletes, amateur athletes, general members, and youth. Youth Membership is for individuals under the age of 18 and youth members do not have voting rights.”

“THERE ARE TWELVE (12) MEMBERS OF THE BOARD OF DIRECTORS. FOUR (4) ATHLETE DIRECTORS ARE ELECTED BY ELITE ATHLETE MEMBERS. FOUR (4) INDEPENDENT DIRECTORS ARE SELECTED BY THE BOARD. FOUR (4) GENERAL DIRECTORS ARE ELECTED BY THE GENERAL MEMBERSHIP. BALLOTS ARE GENERALLY MADE AVAILABLE IN MID-LATE SEPTEMBER AND THE ELECTION CLOSEs APPROXIMATELY 30 DAYS THEREAFTER.”

“A vote of at least nine (9) votes of the directors of the board at any meeting duly called is required for any amendments to the bylaws. Members vote on the general directors. Athlete directors and members of the athletes' advisory council are elected by the elite athlete members. All other committee members are appointed by the board of directors. Various other decisions are reserved by the board of directors.”

“The form 990 will be reviewed by usat's executive leadership team. After the leadership team's review, form 990 is reviewed by the finance committee and then submitted to the board for review and approval, before the return is filed with the irs. The 990 will be posted to usat's website.”

“Annually officers, directors, staff and various others complete a conflict-of-interest (coi) disclosure form. They also have the obligation to update it on an ongoing basis. Usat staff and the chair of the ethics committee review the coi forms and any potential conflicts. If a conflict exists, the applicable person is provided with guidance as to appropriate mitigation steps and their ability to engage in a deliberation, transaction, or vote concerning the conflict.”

“The ceo has an employment agreement that was reviewed by the compensation committee and based on relevant compensation surveys. This agreement was approved by the board. The ceo is also reviewed on an annual basis based on performance metrics. The board approves the final evaluation for the year. For key employees, the hr and finance teams use surveys and industry knowledge to develop a range for each salary position at usat. The hr and finance teams propose overall pay scales during each budget review and in december, the usat board must review and approve the following year's budget.”

“The organization provides, in a timely manner, financial statements and governing documents including its conflict of interest policy, when requested in writing or in person. The form 990, and governing documents of the organization are posted on the organization's website and updated as necessary from time to time.”
