Form 990, Part VI, Line 15A PROCESS FOR DETERMINING COMPENSATION OF TOP MANAGEMENT OFFICIAL

The process for determining compensation of the organization's ceo, executive director, or top management official, as well as that of any other officers or senior executives (if any), is directed by a related organization. The related organization's board committee responsible for compensation oversees the process, utilizing independent delegees within the organization as appropriate, depending on the role. In some cases, the process may utilize comparability data and analysis from a national third-party compensation firm; or, if more appropriate for the role, it may instead utilize other applicable sources of market comparability data as needed to verify reasonableness. The process also includes contemporaneous substantiation of the analysis and decision regarding the compensation arrangement. Compensation is reviewed at least annually and the process is administered to assure independence, avoid conflicts of interest, ensure reasonableness and market comparability of total compensation, and to otherwise abide by pertinent laws and regulations.

Ascension Care Management Insurance Holdings has a single corporate member, Ascension Care Management, LLC.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Ascension Care Management, LLC is the sole member of the Corporation and has the power to appoint and remove members of the Board of the Corporation. Ascension Care Management, LLC may appoint one or more officers, or other designees, to act on its behalf in the capacity of Member of the Corporation.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The decision-making rights of Ascension Care Management, LLC, as the sole member of the Corporation, include the following: (a) Changes to the Articles of Incorporation or Bylaws of the Corporation where such changes are not consistent with Ascension system policy; (b) The appointment and removal of members to the Board of the Corporation; (c) The appointment and removal of the Chair of the Board of the Corporation; (d) The annual performance assessment of the board of the Corporation; (e) The annual assessment of the value of being part of the Ascension system; (f) The appointment, removal and performance evaluation of the CEO; (g) The formation of a Corporation Subsidiary; (h) Major Transactions involving any Corporation Subsidiary that is not an Ascension Credit Group Member; and (i) The expenditure of funds or major capital investments consistent with Ascension System Policy. The following matters shall be decided by Ascension Health Alliance, as the sole member of Ascension Care Management, LLC: (a) Major Transactions involving the Corporation and any Corporation Subsidiary that is an Ascension Credit Group Member; (b) The incurrence of debt by the Corporation or any Corporation Subsidiary; and (c) Major capital investments consistent with Ascension System Policy.

Form 990, Part VI, Line 11B Review of form 990 by governing body

During the return preparation process, the tax department works with other functional areas which may include, as needed, finance, accounting, treasury, legal, human resources, and corporate compliance for advice, information and assistance in order to prepare a complete and accurate return. A complete final copy of the return is provided to designated management team members with experience in tax in lieu of the full board.

Form 990, Part VI, Line 12C Conflict of interest policy

To ensure that the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic conflict of interest reviews shall be conducted. If the board has reasonable cause to believe that a failure to disclose under the policy has occurred, it shall inform such person and afford him or her an opportunity to explain. If, after hearing such response and making any further investigation as may be warranted, the board determines that such person has failed to disclose under the policy, the board shall take appropriate disciplinary and corrective action.
