Is to provide the time, space & parenting resources necessary to assist adopted children, & their family, whose histories of institutionalization, abuse, neglect or multiple placements have rendered them unable to benefit from other more traditional community resources.

Part I, Line 5A-5C - Related-Party Asset Sale

Fixed Asset Sale to Carla DeRoseDuring the year, the organization sold property with a carrying value of $7,957 to Carla DeRose, a former officer and director, for $4,500. The transaction was reviewed and approved by the Board of Directors (with the interested party recused) and determined to be at fair market value and in the best interest of the organization. All supporting documentation, including board minutes and conflict-of-interest disclosures, has been retained.

Part V, Line 38B - Loans to or from Interested Persons

Loan from Trauma Education & Support Services, Inc.During 2024, Trauma Education & Support Services, Inc. (a California S Corporation wholly owned by Executive Director/CEO Helene Timpone) provided a $145,000 operating loan to support program and payroll transition expenses during the organizations leadership and fiscal transition. A formal amortization schedule using the applicable federal rate (AFR) was adopted, with monthly payments scheduled to begin January 2026 in accordance with the established repayment plan and board-approved terms. The loan remained outstanding as of 12/31/24. The loan was reviewed and approved by the Board, with Helene recused from the vote to ensure proper governance.

Part IV, Line 50 - Change in Board of Directors

Board TransitionDuring the year, the prior board (Joel Diefenbacher, Paul Jelle, Joanne Jelle, Stacey Colletti, and Carla DeRose) resigned effective October 1, 2024. A new board was elected as of that date, consisting of Helene Timpone, James Beck, Shelley Beck, Colleen Crowley, Kimberly Kenna, Dawn Brynann, and Destinee McKinney.
