“Ossd may elect to hire an outside management company to facilitate the financial reporting requirements, manage memberships and plan the annual meeting or other events held by the organization.”

“Members are divided into the following categories: general membership, associate membership, student/trainee membership. General members and student/trainee members constitute the voting body of ossd.”

“Nominating committee shall solicit members for suggested nominees for vacanies on the council each year at least three months in advance of the next regular election. Candidates shall be announced to the membership at least one month prior to an electronic ballot of the members. Ballot shall be held prior to the annual meeting and elected officers and council members take office at the close of the annual meeting following the election. See article vi. Governance section 3 election of officers and councilors for full details.”

“The corporation shall be managed by the board of directors consisting of, at minimum, a president, president-elect, secretary, treasurer, editor-in-chief of the official journal of ossd and past president. Additional positions may be established by a majority vote. Amendments to the bylaws may be proposed by members of the council or by a petition to the counsil signed by at least 10% of the general members in good standing.”

“The prepared form 990 is provided and reviewed by the management company, and at minimum, one principle officer for approval prior to the submission of the return.”
