The Loft is a local nonprofit dedicated to creating community by celebrating the art and diversity of film.THE VISION OF THE LOFT CINEMA IS: TO BUILD A LARGE AND DIVERSE AUDIENCE; TO DEVELOPPROGRAMS THAT SUPPORT THE MISSION; TO PROVIDE A COMFORTABLE AND SAFE COMMUNITY SPACEFOR AUDIENCES TO EXPERIENCE THE LOFT'S FILM PROGRAMS; TO ENSURE THE FINANCIALSUSTAINABILITY OF THE LOFT CINEMA WITHIN A STRONG FINANCIAL STRUCTURE; AND TOADHERE TO ETHICAL GUIDELINES AND ESTABLISHED GOVERNANCE POLICIES FOR NONPROFIT ARTSORGANIZATION.

The board unanimously approved 3 changes to the By-Laws, which were submitted to the board for review at January meeting. The following changes were approved, along with all revisions to correct grammar and format.i. Amend 4.1 to eliminate a maximum number of board members.ii. Delete first sentence of 5.6 The Treasurer shall have general custody of all the funds and securities of the corporation.iii. Eliminate 9.5: Signature Authority. All checks, notes, acceptances, and orders for payment of money shall be signed by any two of the Executive Director, President, Vice President, Secretary, or Treasurer, or other agents of the Corporation designated by the Board of Directors for amounts above $5,000.00. All contracts that obligate the Corporation for payment in an amount more than $5,000.00, leases and deeds shall be co-signed by the President, Vice President, Secretary or Treasurer, or any other agent of the corporation designated by the Board of Directors

The Executive Director and President will review with the Executive and Finance Committees of the board, and present to the full board prior to submission.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organization's conflict of interest policy applies to board members, staff, and certain volunteers ("interested parties").on an annual and as-needed basis interested parties complete a questionnaire to fully and completely disclose the facts surrounding any actual or potential conflicts of interest. The questionnaires are reviewed by the president of the board and maintained in the corporate records by the secretary of the board. The president of the board must also complete a questionnare; it is also maintained in the corporate records by the secretary of the board.when there is a reason to believe that an actual or potential conflict of interest exists between the organization and an employee, the executive director is responsible for reviewing the matter and taking appropriate action. The executive director reports such information to the board to determine if further action is required.if the potential conflict of interest relates to a specific proposed action or transaction, the organization will refrain from the proposed action or transaction until such time the action or transaction has been approved by disinterested board members. Decisions require a majority vote of directors in attendance at a meeting at which a quorum is present. Details of the potential conflict and vote shall be recorded in the minutes.the interested party involved in the potential conflict of interest shall not participate in, or be present during, any deliberations or decision making in regards to the potential conflict of interest.if the board has reason to believe that an interested party has failed to disclose an actual or potential conflict of interest, it shall inform such party of the basis for such belief and afford the party an opportunity to explain the alleged failure to disclose. The board shall investigate and determine if any disciplinary or corrective action is necesssary.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Executive Director of the Loft performance and compensation is assessed every two years by the Board of Directors. Specifically, the Governance Committee of the Loft coordinates and informs the bi-annual performance and compensation review of the Loft Executive Director. The Committee assesses and reports to the Executive Committee and the full Board on Executive Directors performance based on goals and objectives set in the previous review. In conjunction with the performance review and drafting goals and objectives for the next two-year review period, the Committee completes a compensation analysis based on similar jobs and similar-sized budgets of arts organizations in Southern Arizona region. Both the performance assessment and compensation recommendations are brought to the Loft Executive Committee and then to the full board of directors for a vote.

IRS990/Desc0The Loft Cinema is the premiere venue in Southern Arizona for art films foreign, independent, alternative and classic narrative films and documentaries. The Loft opened in 1972 and transitioned to a nonprofit in 2002. In 2012, The Loft made a significant upgrade to the cinema, adding a third state-of-the-art screen and bringing the main auditorium up to industry standards for digital projection. In 2015, The Loft upgraded its film capabilities to include reel-to-reel 35mm and 70mm projection. In 2016, The Loft acquired and outfitted a solar van to offer mobile screening opportunities to the region. Open 365 days a year with an average of 15 screenings per day, The Loft provides a full spectrum of cinema experiences, with affordable tickets and many free series and events.Programming is diverse and inclusive. In 2016, 679 films from 62 countries were screened for audiences that included the entire community of Southern Arizona, including every race, gender, age, sexual orientation and income level.The Loft has several signature events, including visiting filmmakers and scholars to discuss their work with audiences, local premieres, all-night horror and sci-fi marathons, sing-a-long events, the free Loft Kids Fest and monthly Loft, Jr. series, and The Loft Film Fest, which honored independent cinema stalwarts Alex Cox and Kirsten Johnson at the 2016 edition. The Loft was one of 23 cinemas to become an inaugural member of the Sundance Art House Project, an extension of The Sundance Film Festival, and in 2014 became only the second American cinema and first US film festival to be accepted into the International Confederation of Art Cinemas (CICAE), which brings together about 3,000 screens in 29 countries.In 2016, The Loft Cinemas Education Initiative continued to focus on community impact with the ongoing free Essential Cinema monthly series, the Art on Screen series, featuring international performances of plays, operas and ballets from the worlds most prestigious stages, and collaborations with the University of Arizonas College of Social and Behavioral Sciences, the College of Science, The Arizona State Museum through the Native Eyes Film Showcase, and the UA College of Humanities.The Lofts efforts are consistently recognized through the awards of prestigious state and national grants. In 2016, The Loft received a $60,000 grant from the Arizona Commission on the Arts for general support, a $10,000 grant from Arizona Humanities to facilitate mobile screenings, continued the prestigious Science on Screen program with a grant from the Alfred P. Sloan Foundation and the Coolidge Corner Theatre Foundation, and was awarded a $30,000 grant from the National Endowment for the Arts to support Loft Film Fest and Loft Film Fest on the Road.The Loft also makes an effort to highlight and support other local organizations and nonprofits. In 2016, The Loft partnered with more than 268 nonprofit or community organizations, helping those groups to raise funds and awareness, and to introduce potentially new audiences to The Loft. The Loft also directly donated goods and services to over 143 local nonprofits. The Lofts local impact and value to the community is evidenced by consistently increasing attendance and member enrollment. The Loft has been voted Best of Tucson by readers of the Tucson Weekly every year since it became a nonprofit.
