Management delegated salary is paid through an unrelated third party - ethan allen hr services (formerly staff-line). They also provide human resource services, and w-2 reporting. Payroll taxes are also paid by ethan allen hr services.

Classes of members or stockholders the by-laws indicate membership is authorized. Dutchess county regional chamber of commerce, inc. Shall be the sole member of the organization.

Form 990, Part VI, Section A, Line 7B

Any by-laws adopted by the board may be amended or repealed by the member.

Form 990, Part VI, Section B, Line 11B

Organizations process to review form 990 form 990 is prepared by an independent accounting firm. After review by the management team, an electronic copy is sent to all board members for review and approval. After approval from the board and management team form 990 is filed.

Form 990, Part VI, Section B, Line 12C

Each board member shall be required to submit to the secretary, prior to initial election to the board, a written conflict of interest disclosure statement. Officers, key employees and board members shall annually submit a written conflict of interest disclosure statement not more than 30 days from the start of the calendar year. Failure to sign such a statement will result in a suspension from the board until the statement is signed. Those board members who believe under the following circumstances they may have a conflict of interest must immediately contact the chief financial officer of dcrcoc: a) upon finding that such board member or a member of his or her immediate family has an interest or possible interest in an enterprise or transaction that creates, or might create, a possible conflict of interest; b) upon entering into any relationship that might involve a conflict of interest with, or cause embarrassment to, dcrcoc; c) upon learning that another board member or a member of his or her immediate family has an interest or possible interest in an enterprise or transaction that creates, or might create, a possible conflict of interest; or d) subsequent to signing the policy, if any circumstances noted above have occured. E) upon being notified, the chief financial officer shall provide said information to the executive committee of the dcrcoc, who will review said information, and if necessary refer the matter to the board counsel as whether reasonable cause exists to conclude a conflict of interest exists. Board counsel shall review and advise the executive committee on the matter, who shall report to the board of directors. Action of the board of directors. Any staff or board member who has, might have, or has disclosed, a potential conflict of interest to which shall have been confirmed by independent legal counsel shall, where appropriate, at the direction of the executive committee, take no part in the board or committee deliberations or vote on the matter giving rise to such conflict. However, the board may request that the person with conflict of interest present information as to background or answer questions at a committee or board meeting prior to the commencement of the deliberations or voting. Said person shall not attempt to improperly influence the deliberations, decision-making or vote on the matter giving rise to such conflict. The board shall direct the chief financial officer or other appropriate person to document the existence and resolution of the conflict, including in the meeting minutes, at which the conflict was discussed or voted upon.

Form 990, Part VI, Section B, Line 15A

The compensation package of the president/ceo and executive vp/cfo is reviewed annually by the executive committee. The executive committee, acting on behalf of the board of directors, considers the overall financial and operational performance of the chamber to determine if a salary increase is merited. This occurs annually based on the hire date anniversary and was last reviewed in march of 2021. For top management officials, the president & ceo and executive vice president & cfo conduct an informal semi-annual performance assessment and annually conducts a written performance assessment of top management personnel. Consideration is given to the persons's committment, skills, length of service and overall contributions to the chamber service and financial goals, as well as the chamber's operating budget and overall economic outlook. The anniversary hire date of the person is the review date and reviews have been performed accordingly during 2021. The finance committee then reviews and refers the operating budget to the board for approval, and recommendations are made during the budget process as to salaries and other benefits. Documentation of the budget review and approval process is provided through meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and similar types of websites. In addition, the financial statements, conflict of interest policy, form 990 and governing documents are also available upon written request at the organization's address.

Intended uses for the endowment funds: use of funds are restricted to scholarships.

PART X, LINE 2:

The foundation has evaluated any uncertain tax positions and related income tax contingencies and determined uncertain positions, if any, are not material to the financial statements, according to fasb asc 740-10. Penalties and interest assessed by income taxing authorities are incldued in operating expenses, if incurred. None of the foundation's returns are currently under examination.

Part X, Line 2

The foundation recognizes the effect of income tax positions only if those positions are more likely than not of being sustained. Management has determined that the foundation had no uncertain tax positions that would require financial statement recognition or disclosure. The foundation is no longer subject to examination by the applicable taxing jurisdictions for tax years prior to fiscal 2018.
