Governance Explanations

Form 990, Part VI, Section A, Line 8B

No committee has the authority to act independently of the full board

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by a cpa firm. The audit committee of the board reviews the 990 prior to reporting to the full board at the quarterly meeting. At that time, the full board discusses and approves prior to filing.

Form 990, Part VI, Section B, Line 12C

Board members sign a board conflict of interest disclosure statement. Board members and key staff are required to disclose any potential conflicts of interest and sign a conflict of interest form annually. If a board member has a potential conflict of interest they must recuse themselves from participating in any discussion or vote taken in respect to such transaction or service of interest. After disclosing the possible conflict, the board investigates alternatives to the proposed transaction.

Form 990, Part VI, Section B, Line 15

The charity's policy for determining compensation of officers and key employees was established first by the board of its parent organization, crsc, at its meeting on june 26, 2004, to regularly assess the organization's performance and effectiveness, and to set goals and objectives to achieve the mission of cheyenne river youth project, inc. A biennial report is made of the performance and effectiveness assessment of the charity, with recommendations for future actions, as required by standard 7 of the standards for charity accountibility of the bbb wise giving.

Form 990, Part VI, Section C, Line 18

The client will provide forms upon request

Form 990, Part VI, Section C, Line 19

The charity makes a reasonable effort to determine the business and family relationships among board members, officers and key employees by having the general counsel distribute a questionaire entitled "conflict of interest disclosure statement and the conflict of interest policy at the annual meeting to the organization's officers, directors, trustees, and key employees asking for the information required by question 2 of part vi and questions 25-28 of form iv of the form 990. The questionaire includes the name, title, date and signature of the person responding and is with the conflict of interest policy which provides the definitions of independent voting member, family relationship, business relationship, and key employee. Furthermore, the signing party agrees to promptly inform the board chair of any material change that develops with regard to their disclosure statement.

Financial Statement Notes

PART X, LINE 2:

As of june 30, 2018, cryp had no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. Cryp's income tax filings are subject to audit by various taxing authorities. Cryp is no longer subject to federal and state income tax examinations by taxing authorities for years before 2015. Management continually evaluates expiring statutes of limitation, audits, proposed settlements, changes in tax law and new authoritative rulings. Cryp believes their estimates are appropriate based on current facts and circumstances. Interest and penalties assessed by income taxing authorities, if any, are included in interest expense.
