Management services are provided by the executive director, denise hanzlik of dakota management, llc. The south dakota multi-housing association board of directors is responsible for dictating the direction of the organization. The executive director is tasked with managing the day to day operations. The executive director serves at the pleasure of the board of directors.

Form 990, Page 6, Part VI, Line 6

The organization is a not-for-profit corporation with 3 classes of members: general members, associate members, and chapters. All applications for any type of membership shall be in writing on a form approved by the board of directors which shall include a statement to the effect that the applicant agrees to adhere to the bylaws of the association. Such application shall be accompanied by the appropriate dues as set forth in the dues schedule. General members shall be individuals, partnerships, corporations or other legal entities who own, operate, manage, build and/or develop rental housing, condominiums, coorperatives and other forms of multifamily properties in south dakota. Associate members shall be those who provide goods and services to apartment owners and buildings in related fields such as architects, lenders, contractors, material suppliers, etc. Associate members shall be entitled to all the rights and privileges of a general member except to hold elective office. Chapters are in various communities in south dakota. Each chapter shall be comprised of at least ten (10) general members with a total of fifteen (15) active members.

Only general members in good standing shall have the right to vote and each general member shall have but one vote. Every general member, other than individuals, shall designate a person to be its acting representative with the power to vote, in all matters that come before the association, by notifying in writing to the board of directors their designate for their power to vote. Such designation may be rescinded or changed by a notice in writing to the board of directors, at the time of their renewal. An associate member has the right to vote, in a board of directors election, only for the one associate seat on the board of directors. The chapter chair shall represent the chapter to the state board of directors. Each chapter shll have a formal council, made up of chapter members in order to hold office to the state board of directors. Chapters not meeting minimum criteria can still conduct meetings, with no representation on the state board of directors. A chapter chair serves in an ex-officio capacity on the board of directors with non-voting provileges.

The organization has chapters as described in the response on schedule o to part vi, section a, line 6. There are no specific written policies & procedures governing the activities of the local chapters. The local chapters are responsible for the planning of meetings, events, & education in their area. The organization ensures that the local chapter's activities are consistent with the organization's tax exempt purpose by approving, processing & recording all expenses & income of the chapters. A portion of the net profit of each education & other events is budgeted for chapter expenses.

ASSOCIATE MEMBERS SHALL BE THOSE WHO PROVIDE GOODS AND SERVICES TO APARTMENT OWNERS AND BUILDINGS IN RELATED FIELDS SUCH AS ARCHITECTS, LENDERS, CONTRACTORS, MATERIAL SUPPLIERS, ETC. ASSOCIATE MEMBERS SHALL BE ENTITLED TO ALL THE RIGHTS AND PRIVILEGES OF A GENERAL MEMBER EXCEPT TO HOLD ELECTIVE OFFICE. CHAPTERS ARE IN VARIOUS COMMUNITIES IN SOUTH DAKOTA. EACH CHAPTER SHALL BE COMPRISED OF AT LEAST TEN (10) GENERAL MEMBERS WITH A TOTAL OF FIFTEEN (15) ACTIVE MEMBERS.
