“We lost our non-profit status in 2013 due to misunderstanding and oversight by the guys who had been running things since it started in 1972. They knew they were supposed to submit a 990, and did so in 2009, but must not have understood it was an annual requirement. They are all dead now. Each new treasurer was assured that "no tax documents had to be filed." When I became secretary and it was time to work on loan documents, I asked for the last three 990s, and the treasurer said, "What's a 990?" Yikes. I became treasurer and was able to reconstruct the financials and get us reinstated, retroactively. Now I will expose my ignorance. I have been involved with a few non-profits in town, and filed the 990 postcards. Last year was the first year we were to file after being reinstated, so I filed a postcard. THis year, I saw the restrictions for the first time, and discovered on May 12 that I had to file a full 990, too late to hire someone. I filled it out, hard copy, and mailed it on May 15. Then I realized I hadn't signed it, and that it had to be e-filed. And then I saw all the ways my numbers didn't match. I have now succeeded, and you don't want to know how many hours it took. Next year, I will have it done professionally early enough to present the entire form to the board ahead of time. Even not knowing I had to submit the entire 990, I did create an annual report with balance sheet, Income statement, and other ways for them all to know where we are financially so we can continue with our new housing projects.”
“At our annual meeting (second Monday in March), we make an announcement that anyone may request to see our By-Laws (which includes a Conflict of Interest Policy) and all our (and other) monthly meeting minutes from the Secretary, and that all financial records (monthly, annual, etc.) are available from the Treasurer to view, upon request.”
“I did not know until after the fact that hard-copy 990s are not acceptable. I'd forgotten to sign it anyway, in my hurry to get it to the post office, which is what led me to the new information - that 990s must be efiled.”
“The Rosholt Improvement Association undertook two major projects this year. 1) With the help and approval of the State, we organized a joint effort between our organization, the previous owner, and the city to demolish the 1916 former 1916, three-story brick high school (and land) that had become a nuisance and an eyesore. We then purchased the land and had it replatted into 5 lots for new single-family dwellings. The former owner paid for the demolition, we paid for the removal of debris and restoration of the land (dirt work), and the city paid to cover the debris in their city landfill. 2) Our next big project was to purchase a low-income pre-fab 3-bedroom house from the State through a program to generate low-income housing throughout the state. It was placed on a poured basement. This spring (2025, a two-stall garage has been attached, front steps added, and other needed construction done, appliances bought, etc. for purchase by someone with qualifying low-income finances.”

We then purchased the land and had it replatted into 5 lots for new single-family dwellings. The former owner paid for the demolition, we paid for the removal of debris and restoration of the land (dirt work), and the city paid to cover the debris in their city landfill. 2) Our next big project was to purchase a low-income pre-fab 3-bedroom house from the State through a program to generate low-income housing throughout the state. It was placed on a poured basement. This spring (2025, a two-stall garage has been attached, front steps added, and other needed construction done, appliances bought, etc. for purchase by someone with qualifying low-income finances. |

They knew they were supposed to submit a 990, and did so in 2009, but must not have understood it was an annual requirement. They are all dead now. Each new treasurer was assured that "no tax documents had to be filed." When I became secretary and it was time to work on loan documents, I asked for the last three 990s, and the treasurer said, "What's a 990?" Yikes. I became treasurer and was able to reconstruct the financials and get us reinstated, retroactively. Now I will expose my ignorance. I have been involved with a few non-profits in town, and filed the 990 postcards. Last year was the first year we were to file after being reinstated, so I filed a postcard. THis year, I saw the restrictions for the first time, and discovered on May 12 that I had to file a full 990, too late to hire someone. I filled it out, hard copy, and mailed it on May 15. Then I realized I hadn't signed it, and that it had to be e-filed. And then I saw all the ways my numbers didn't match. I have now succeeded, and you don't want to know how many hours it took. Next year, I will have it done professionally early enough to present the entire form to the board ahead of time. Even not knowing I had to submit the entire 990, I did create an annual report with balance sheet, Income statement, and other ways for them all to know where we are financially so we can continue with our new housing projects. |

I have a receipt from USPS to verify that. I didn't know at that time that paper forms are not accepted, so immediately created a digital one and e-filed. However, the form was rejected because, although we received retroactive reinstatement (and I have the letter), it had never been put back into the system, so we were seen as having lost our status, but not as having been reinstated. An IRS agent took care of that in the meantime and told me to re-file after 4 weeks. So I am. Thanks! |
