“The organization has members. The members consist of individuals and companies that are directly or indirectly involved in the building industry.”

“Elections are held annually and positions are a three-year term, with the exception of president, vice president, board advisor, past president, secretary, and treasurer. The election process is started by the nominating committee in july or august, which is comprised of past presidents and the executive board or officers of the board, which are the treasurer, secretary, president, past president, vice president and board advisor. After a slate of candidates is received, a slate is posted to membership 30 days prior to the elections, which are held in october at the monthly membership meeting, of which all members are invited to attend. At that meeting nominations for open positions can also be made from the floor. If the nominations made from the floor receive a majority vote, they are added to the ballot and elections take place that night. Those elected positions take their place on the board on january 1st. This is the case for all positions except secretary, treasurer, and board advisor which are elected from the board and by the board at the november board meeting. These three positions are also elected annually from the board and by the board.”

“The executive officer meets with the tax preparer, and they review and discuss the contents of the 990 form. It is then reviewed by the treasurer and the president. The 990 form is not presented to all 26 voting members prior to being filed.”

“Any potential conflict of interest that could result in a direct or indirect financial or personal benefit to a director, officer or staff member must be disclosed in good faith or be known to the board of directors or committee authorizing a contract or other transaction. All questions as to whether a conflict of interest exists are resolved by a vote of the board of directors in which the interested individual may not vote. It is left up to the individual to disclose to the board any conflict of interest and he or she must abstain from voting on the transaction related to that conflict. A copy of this policy is provided to each officer, director and association employee annually.”

“The executive board, which is also the personnel committee, reviews the compensation of the executive director on an annual basis and approves any compensation increases or bonuses. They do not review compariability data but believe that salaries/wages paid are on par with industry norms. The organization answered "no" to question 15b because the executive director is the only "key" employee or officer receiving compensation.”
