“Classes of members or stockholders qualifications for membership are to be established by the board of directors. Membership in south dakota missouri river tourism shall be composed of any person, corporation, association, club, business or other organization which pays an annual fee established by the board of directors. The annual meeting of the members shall be held each year as may be designated by the board of directors. Each shall be entitled to one vote on any matter brought before a meeting of the members. Directors shall be elected annually by the members of the association at the annual meeting to fill vacancies of the terms of directors expiring at that time. A vacancy on the board of directors shall be filled by the remaining members of the board and the appointed member shall serve out the unexpired term of the member whose vacancy was filled.”

THE ANNUAL MEETING OF THE MEMBERS SHALL BE HELD EACH YEAR AS MAY BE DESIGNATED BY THE BOARD OF DIRECTORS. EACH SHALL BE ENTITLED TO ONE VOTE ON ANY MATTER BROUGHT BEFORE A MEETING OF THE MEMBERS. DIRECTORS SHALL BE ELECTED ANNUALLY BY THE MEMBERS OF THE ASSOCIATION AT THE ANNUAL MEETING TO FILL VACANCIES OF THE TERMS OF DIRECTORS EXPIRING AT THAT TIME.
