“There shall be an executive committee consisting of the chairperson of the board, vice chairperson, secretary/treasurer, immediate past chairperson, south dakota nada director, sdada pac chairperson and the president. The president shall be a nonvoting member of the executive committee. The executive committee may act on behalf of the association on any matter of ordinary business that may arise when the board of directors is not in session, as long as the action of the executive committee is not in violation of the articles, by-laws, and resolutions of the board or any federal or state law. The executive committee shall report its actions to the board of directors for the board of director's consideration or ratification at the next regular or special meeting of the board of directors.”

“All members of the south dakota automobile dealers association have equal rights and privileges, and each member is required to pay annual membership fees.”

“Whenever there is a motor vehicle dealer district voter vacancy on the board of directors, each active member from the district that such vacancy needs to be filled will be solicited to serve. The names of those active members wishing to serve will be placed on a ballot. Each active member of that district may vote for one nominated eligible member to fill the vacancy, and such ballots shall be returned to the association offices within ten days of receipt. Whenever there is an auto dealer at large director vacancy on the board of directors, each active auto dealer member will be solicited to serve. The names of those active members wishing to serve will be placed on a ballot. Each active auto dealer member may vote for one nominated eligible member to fill the vacancy, and such ballots shall be returned to the association offices within ten days of receipt. The official election is held at the annual meeting.”

“All decisions that affect the financial or political stability of the organization will be referred to membership by written ballot. All members receive one vote.”

“The president and executive committee will review the 990 in detail. After their review, the 990 is provided to each board member via email. Whether presented in a meeting or not, the 990 is not filed until each board member has been given a copy of it and given ample time to review it.”

“All board members and key employees, including officers, are covered by the policy. All reports received by the president are investigated and discussed with the associations' chairperson before a determination is made on whether a potential conflict exists. The president along with the chairperson then determines if the conflict officially exists; however, if the conflict involves the president or chairperson, the board would then be the determining entity. After a conflict is identified, it is documented along with the arrived at solution to the conflict and that member must abstain from voting on the matter.”

“Compensation for the sdada president is determined cooperatively by the sdada executive board, sdada services, inc. Executive board, south dakota trucking association executive board and the sdta services, inc. Executive board. As part of the management contract with sdada services, sdada is responsible for 20% of the president's compensation.”
