Mission

The level playing field, with fair and open competition among all dealers, is the best assurance south dakota consumers will continue to obtain the highest level of value and service for their automobiles, trucks, and motorcycles. Sdada is committed to taking whatever actions are necessary to accomplish this mission, including enacting legislation to protect members from overreaching and unfair manufacturer restrictions on dealers ability to operate and sell the businesses they have worked hard to build. Sdada will also work to support legislation to protect members from perceived abuses and oppressive acts by the manufacturer.

To promote fair and open competition among south dakota auto dealers.

Governance Explanations

Form 990, Page 6, Part VI, Line 1A

There shall be an executive committee consisting of the chairperson of the board, vice chairperson, secretary/treasurer, immediate past chairperson, south dakota nada director, sdada pac chairperson and the president. The president shall be a nonvoting member of the executive committee. The executive committee may act on behalf of the association on any matter of ordinary business that may arise when the board of directors is not in session, as long as the action of the executive committee is not in violation of the articles, by-laws, and resolutions of the board or any federal or state law. The executive committee shall report its actions to the board of directors for the board of director's consideration or ratification at the next regular or special meeting of the board of directors.

The organization has a management agreement with sdada services, inc. 3801 s kiwanis ave, sioux falls, sd 57105. Christine erickson, current president, is compensated by the management company from wages and benefits received in regard to her services for sdada were 27,722 for calendar year ended december 31, 2024.

All members of the south dakota automobile dealers association have equal rights and privileges, and each member is required to pay annual membership fees.

Whenever there is a motor vehicle dealer district voter vacancy on the board of directors, each active member from the district that such vacancy needs to be filled will be solicited to serve. The names of those active members wishing to serve will be placed on a ballot. Each active member of that district may vote for one nominated eligible member to fill the vacancy, and such ballots shall be returned to the association offices within ten days of receipt. Whenever there is an auto dealer at large director vacancy on the board of directors, each active auto dealer member will be solicited to serve. The names of those active members wishing to serve will be placed on a ballot. Each active auto dealer member may vote for one nominated eligible member to fill the vacancy, and such ballots shall be returned to the association offices within ten days of receipt. The official election is held at the annual meeting.

All reports received by the president are investigated and discussed with the associations' chairperson before a determination is made on whether a potential conflict exists. The president along with the chairperson then determines if the conflict officially exists; however, if the conflict involves the president or chairperson, the board would then be the determining entity. After a conflict is identified, it is documented along with the arrived at solution to the conflict and that member must abstain from voting on the matter.
